G&A Fee means for calendar year 2010, $0.02565 per MMBtu, subject to annual escalation pursuant to Section 3.5 of this Exhibit 4.3. ANCHOR SHIPPER GAS GATHERING AGREEMENT FOR NORTHERN PENNSYLVANIA - AMS AS GATHERER - EPSILON AS SHIPPER
G&A Fee means, for each Month in Year 2012, a fee per MMBTU for G&A Expenses equal to the quotient of (a) the sum of: (i) $** multiplied by the average Daily volumes of Gas received on the System in such Month up to ** BBTUs per Day, plus (ii) $** multiplied by the average Daily volumes of Gas received on the System in such Month equal to or in excess of ** BBTUs per Day but less than ** BBTUs per Day, plus (iii) $** multiplied by the average Daily volumes of Gas received on the System in such Month equal to or in excess of ** BBTUs per Day, divided by (b) the average Daily volumes of Gas received on the System in such Month. The G&A Fee is subject to annual escalation pursuant to Section 3.5 of this Exhibit C-3.
G&A Fee is defined in Section 2.2(a).

Examples of G&A Fee in a sentence

  • The Operating G&A Fee, upon commencement of operations, shall be adjusted on an annual basis commencing January 1, 2011, and each January 1 thereafter, in proportion to the average percentage change for the twelve (12) month period ending June 30 of the preceding calendar year, using the column titled “Annual Average”, or its equivalent, in the Consumer Price Index - All Urban Consumers as published by the United States Department of Labor Bureau of Labor Statistics (“CPI Index”).

  • In no event will the adjustment result in a decrease of the Operating G&A Fee.

  • For calendar year 2010, Operator shall charge Gathering System operations an Operating G&A Fee of $0.02565 per MMBtu of gas received at the Receipt Points.

  • Subject to (a) Section 3.8, and (b) the Construction Manager’s right to withdraw and/or use any funds constituting the Construction G&A Fee at its sole discretion, Construction Manager shall only use the funds in the Construction Account to pay expenses owed by Owner or Construction Manager for the Design, Procurement and Construction of the Applicable Facilities, including the Management thereof, pursuant to this Agreement or that are otherwise chargeable to Owner or due to Construction Manager hereunder.

  • Notwithstanding the foregoing, Owner and Operator acknowledge and agree that the Construction G&A Fee shall not be applied to any maintenance capital expenditures or any expenses in connection with any Non-Growth Integrity Project.

  • Subject to Section 3.2, within thirty (30) days following the date of such invoice, the Company shall pay to the Chesapeake Entities the undisputed amounts of the G&A Fee and the Additional Services Reimbursement Amount specified by such invoice.

  • Changing conditions are detected by self-monitoring, by sensors, and self-adjustments are made.

  • Such new G&A Fee shall be subject to certain approval rights set forth in the Company Operating Agreement, including the Member approval rights set forth in Section 6.12 thereof.

Related to G&A Fee

  • Utilization Fee shall have the meaning assigned to such term in Section 2.06(b).

  • Hire Fee the hire fee specified in Item 13.

  • Acquisition Fee means any and all fees and commissions, exclusive of Acquisition Expenses, paid by any Person to any other Person (including any fees or commissions paid by or to any Affiliate of the Company or the Advisor) in connection with making or investing in Mortgages or the purchase, development or construction of a Property, including real estate commissions, selection fees, Development Fees, Construction Fees, nonrecurring management fees, loan fees, points or any other fees of a similar nature. Excluded shall be Development Fees and Construction Fees paid to any Person not affiliated with the Sponsor in connection with the actual development and construction of a project.

  • L/C Fee has the meaning specified in Section 2.03(i).

  • Monthly Fee means the total consideration, including but not limited to, equipment or locker rental,

  • Placement Fee has the meaning given thereto in Section 2(a) hereof;

  • Target fee, as used in this contract, means the fee initially negotiated on the assumption that this contract would be performed for a cost equal to the estimated cost initially negotiated, adjusted in accordance with paragraph (d) of this clause.

  • Annual Fee has the meaning stated in Section 4.02(a).

  • Base Fee means the amount of compensation mutually agreed upon for the completion of Basic Services.

  • Origination Fee means any origination fee payable to the Department by the lender with respect to any Trust Student Loan.

  • Success Fee means the fee to be paid by PURCHASER to SELLER as specified in Exhibit D upon successful FDA Approval.

  • Upfront Fee has the meaning specified in Section 2.07 hereof.

  • Transaction Fee means the fee, in respect of a Sub-Fund, which may be charged for the benefit of the Trustee, the Registrar and/or the Service Agent or the Conversion Agent (as the case may be) to each Participating Dealer on each Dealing Day upon which an Application has been or Applications have been made by the relevant Participating Dealer.

  • Contract Fee means the price, fee, rent, or royalty payable in a contract under this chapter or

  • Facility Fee has the meaning specified in Section 2.09(a).

  • Structuring Fee has the meaning set forth in the Fee Letter.

  • Marketing Fee means the fees paid by Home Credit to Dealer/Provider to support the use of Home Credit’s Product;

  • Management Fee shall have the meaning set forth in Section 10(a).

  • Initial Fee means any applicable one-off initial or installation fee, as may be stated in an Order;

  • Commitment Fee has the meaning specified in Section 2.09(a).

  • Permit Fee means a fee in an amount established by the SFMTA Board, required to be paid by a permit applicant for permit issuance or renewal, including any late payment penalties or interest for failure to pay in accordance with the requirements of this Article and any other regulations adopted by the SFMTA Board.

  • Exit Fee shall have the meaning specified in the Fee Letter.

  • Handling Fee means the fee payable per Ticket transaction or order, charged in addition to the Face Value of the Ticket, for the processing and delivery of Tickets in that transaction or order (including United Kingdom value added tax thereon);

  • Access Fee means a fee prescribed for the purposes of section 22(6) or 54(6), as the case may be;

  • Monitoring Fee means the fees payable to the Lender pursuant to Section 2.03(b) below.

  • Impact fee means a payment of money imposed under Title 11, Chapter 36a, Impact Fees Act.
