G&A Expenses definition

G&A Expenses means the actual general and administrative expenses of Borrower (or of Parent if attributable directly to Borrower) including capitalized general and administrative expenses, calculated in accordance with GAAP, (excluding all non-cash charges and performance-based compensation pursuant to a plan Approved by Administrative Agent).
G&A Expenses means standard general and administrative expenses, as calculated by FoundryCo in accordance with accounting standards as generally applied by FoundryCo.
G&A Expenses means, with respect to any Person, the general and administrative expenses of such Person not attributable to any particular Property, including without limitation, salaries, directors’ and officers’ insurance, office rent and operating expenses, overhead and outside contractors, but excluding expenses that are properly capitalized under GAAP.

Examples of G&A Expenses in a sentence

  • The G&A Expenses Limit shall not apply to reimbursement for direct expenses of the Partnership as provided in Section 2.2.

  • In the event that the Partnership Group makes any acquisitions of assets or businesses or the business of the Partnership Group otherwise expands during the first three years following the Closing Date, then the G&A Expenses Limit shall be appropriately increased in order to account for adjustments in the nature and extent of the general and administrative services by Targa to the Partnership Group, with any such increase in the G&A Expenses Limit subject to the approval of the Conflicts Committee.

  • After the third anniversary of the Closing Date, the G&A Expenses Limit will no longer apply and the General Partner will determine the amount of general and administrative expenses that will be properly allocated to the Partnership in accordance with the terms of the Partnership Agreement.

  • From and after the date hereof, the G&A Expenses Limit is increased by the actual amount of general and administrative expenses allocated by Targa for the services provided to the Downstream Business, according to the allocation methodology utilized by Targa.

G&A Expenses means general and administrative expenses and IPO Transaction Costs are detailed in note 30 to DBI’s Financial Report for the year ended 31 December 2020 released to the ASX on 26 February 2021 and described in the Prospectus (as released to the ASX on 8 December 2020) as “Transaction Costs”.
G&A Expenses has the meaning ascribed to such term in Section 7.2.
G&A Expenses means the general and administrative expenses of the Borrower and its Subsidiaries not attributable to any particular Oil and Gas Property or Properties, including without limitation, salaries, office rent and operating expenses, overhead and outside contractors.
G&A Expenses means all general administrative and operating costs and expenses of any Borrower determined in accordance with GAAP, excluding (without duplication): (a) any non-cash charges, (b) extraordinary, unusual or non-recurring items (including all transaction costs and expenses incurred in connection with the Transactions or the Permitted EnLink Consolidation Event, or any extraordinary losses and unusual or non-recurring charges or expenses attributable to legal and judgment settlements) and (c) costs, expenses, charges, accruals, reserves (including restructuring costs related to acquisitions prior to or after the Closing Date) or expenses attributable to the implementation of cost savings initiatives and other restructuring and integration costs that are reasonably identifiable, factually supportable and certified by the Borrowers to result from actions that have been taken or with respect to which substantial steps have been taken or are expected to be taken (in the good faith determination of the Borrower) within twelve (12) months after such cost savings initiatives and other restructuring and integration costs; provided that (i) the aggregate amount pursuant to this clause (c) in such period shall not exceed 5% of Consolidated EBITDA for such period and (ii) no amount shall be excluded pursuant to this clause (c) to the extent duplicative of any expenses or charges otherwise excluded from Consolidated EBITDA for such period (clauses (a) through (c), “One-Time and Extraordinary Expenses”).
G&A Expenses means total Company general administrative expenses for the fiscal year ended 2019 as reported in the Company’s Form 10-K, adjusted as deemed appropriate for G&A expenses not contemplated at the time of this grant including, but not limited to, G&A expenses associated with any concept acquired by Yum! after November 7, 2016, G&A expenses resulting from any significant investments, G&A expenses associated with the divestiture of a brand and G&A expenses reported as a “Special Item” in our SEC filings . Appropriate adjustments to G&A expenses will also be made in the event of a financial accounting reporting change from the manner of reporting as of the date of the awards that serves to include or exclude amounts from G&A expenses.
G&A Expenses means expenses and costs incurred by the Borrower and each other Loan Party that are classified as “general and administrative costs”, including Restricted Payments made pursuant to Section 9.04(a)(iii), Section 9.04(a)(iv) or Section 9.04(a)(vi) (other than Section 9.04(a)(vi)(B)), consulting fees, salary, rent, supplies, travel, insurance, accounting, audit, legal, engineering and broker related fees required to manage the affairs of the Loan Parties; provided, that G&A Expenses shall not include (x) any expenses or costs incurred in connection with the Transactions or (y) any one-time expenses or costs relating to unusual or extraordinary events (including, for the avoidance of doubt, (i) settlement costs and (ii) expenses incurred in ​ ​ connection with the consummation of any investment, acquisition, merger, disposition, equity issuance or capital contribution, but excluding any retention or bonus payments paid in cash).
G&A Expenses has the meaning set forth in Section 6 of Schedule 6.4.
