Gatekeeper Notice definition

Gatekeeper Notice has the meaning set forth in Section 3.3.

Gatekeeper Notice shall have the meaning given to such term in Schedule 4.1.2. 1.78 “Group I Background Patent Rights” shall have the meaning given to such term in Section 10.3.1(a). 1.79 “Group II Background Patent Rights” shall have the meaning given to such term in Section 10.3.1(b). 1.80 “Human Materials” shall have the meaning given to such term in Section 4.6.2. 1.81 “IND” means an Investigational New Drug application, Clinical Study Application, Clinical Trial Exemption, or similar application or submission for approval to conduct human clinical investigations filed with or submitted to a Regulatory Authority in conformance with the requirements of such Regulatory Authority. 1.82 “Indemnified Party” shall have the meaning given to such term in Section 9.3.1. 1.83 “Indemnifying Party” shall have the meaning given to such term in Section 9.3.1. 1.84 “Indirect Taxes” shall have the meaning given to such term in Section 7.10.3. 1.85 “Initial Collaboration Target” means 1.86 “Initial Collaboration Target No-Cost Substitution Period” shall have the meaning given to such term in Section 7.2.1. 1.87 “Initial Collaboration Target Substitution Period” shall have the meaning given to such term in Section 4.1.3(a). 1.88 “Initial Research Plan” shall have the meaning given to such term in Section 4.1.4(a). 1.89 “Initiation”, “Initiated” or “Initiate” means, with respect to a Clinical Trial, the first dosing of the first human subject in such Clinical Trial with the Collaboration Product being studied under such Clinical Trial. 1.90 “Invention” means any Know-How, whether or not patentable, in each case that is first conceived, discovered, invented, made or conceived and reduced to practice by or on behalf of a Party (or their respective Affiliates) (whether solely by or on behalf of a Party (or its Affiliate) or jointly by or on behalf of the Parties (or their respective Affiliates)) in accordance with this Agreement.

Examples of Gatekeeper Notice in a sentence

  • If the Novel Gatekeeper Notice indicates that the proposed Novel Program Target Pair is Not Available, then Incyte shall have the right to pursue such Novel Program Target Pair and Bi-Specific Constructs directed to such Novel Program Target Pair outside of this Agreement.

  • If, at any time during the Research Term, any Target Pair that was identified as Not Available in a [**] Gatekeeper Notice or Novel Gatekeeper Notice is no longer Not Available, Merus shall promptly, but in any case within [**] provide written notice to Incyte and make available, [**], the Merus Know-How related to such Target Pairs and the Bi-Specific Constructs specifically binding to the Target Pairs.

Related to Gatekeeper Notice

  • Gatekeeper has the meaning set forth in Section 2.4.1.

  • Reminder Notice means a notice in writing issued in accordance with clause 7.1(1)(a).

  • Counter Notice has the meaning given to it in paragraph 165.2 of this Call Off Schedule 11;

  • Selection Notice means a notice substantially in the form set out in Part II of Schedule 3 (Requests) given in accordance with Clause 9 (Interest Periods).

  • Rectification Notice means a notice in writing that identifies a defect in a work and requires rectification of the defect within a specified period of time.

  • Transfer Notice means the notice of a proposed transfer of Shares described in Section 8.

  • FOIA Notice means a decision notice, enforcement notice and/or an information notice;

  • Pre-Notice shall have the meaning ascribed to such term in Section 4.13.

  • Denial notice means a board notification denying an application for the issuance or renewal of a license as required by the Act.

  • Xxxxx Notice means the Notice of Grant of Stock Option accompanying the Agreement, pursuant to which Optionee has been informed of the basic terms of the option evidenced hereby.

  • Termination Warning Notice means a notice sent by the Secretary of State to the Academy Trust, stating his intention to terminate this Agreement.

  • Proposed Transfer Notice means written notice from a Key Holder setting forth the terms and conditions of a Proposed Key Holder Transfer.

  • Opt-Out Notice has the meaning specified therefor in Section 2.02(a) of this Agreement.

  • complaining Party means any Party that requests the establishment of an arbitration panel under Article 3.5 (Initiation of the Arbitration Procedure);

  • Transfer Notice Date has the meaning given to it in Section 2.06.

  • Publication Notice means the summary notice of proposed Settlement and hearing for publication substantially in the form attached as Exhibit 3 to Exhibit A.

  • CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).

  • Rejection Notice has the meaning specified in Section 2.05(b)(v).

  • Mediation Notice is defined in Section 6.2(b).

  • Notice-triggering Personal Information means the personal information identified in Civil Code section 1798.29 whose unauthorized access may trigger notification requirements under Civil Code section 1798.29. For purposes of this provision, identity shall include, but not be limited to, name, address, email address, identifying number, symbol, or other identifying particular assigned to the individual, such as a finger or voice print, a photograph or a biometric identifier. Notice-triggering Personal Information includes PI in electronic, paper or any other medium.

  • Particulars means the following:

  • Long Form Notice means the form of notice that shall be posted on the Settlement website created by the Settlement Administrator and shall be available to Settlement Class members by mail on request made to the Settlement Administrator in the form attached as Exhibit 2.

  • Milestone Notice has the meaning set forth in Section 2.4(a).

  • Written Notice means a notice or communication in writing and shall be deemed to have been duly served if delivered in persons to the individual or to a member of the contractors firm or to an office of the company for whom it is intended, or if delivered at or sent by registered mail to the last business address known to him who gives the notice.

  • Summary Notice means the Summary Notice of (I) Pendency of Class Action, Certification of Settlement Class, and Proposed Settlement; (II) Settlement Fairness Hearing; and (III) Motion for an Award of Attorneys’ Fees and Reimbursement of Litigation Expenses, substantially in the form attached hereto as Exhibit 3 to Exhibit A, to be published as set forth in the Preliminary Approval Order.

  • Material Objection Notice has the meaning set forth in Section 4.2 of this Agreement.
