German Collateral Document definition

German Collateral Document means, individually and collectively as the context may require, each pledge agreement, security agreement, guarantee or other agreement that is entered into by any German Loan Party or any person who is the holder of Equity Interests in any German Loan Party in favor of the Collateral Agent and/or the Secured Parties, and any other pledge agreement, security agreement or other agreement entered into pursuant to the terms of the Loan Documents that is governed by the laws of Germany, securing the Obligations, in each case in form and substance reasonably satisfactory to the Administrative Agent and entered into pursuant to the terms of this Agreement or any other Loan Document, as the same may be amended, restated or otherwise modified from time to time.
German Collateral Document means any Collateral Document governed by German law.
German Collateral Document means (a) that certain Share Pledge Agreement, dated on or about the date hereof, by and among the Administrative Agent, the financial institutions party thereto, the Borrower and the Specified German Entities, (b) that certain Global Assignment Agreement, dated as of the date hereof, by and among the Administrative Agent and the Specified German Entities, (c) that certain Security Transfer Agreement, dated as of the date hereof, by and among the Administrative Agent, Mesa Germany GmbH and gke-GmbH, (d) that certain IP Rights Security Transfer and Assignment Agreement, dated as of the date hereof, by and between the Administrative Agent and gke-GmbH, (e) that certain Account Pledge Agreement, dated as of the date hereof, by and among the Administrative Agent, the financial institutions party thereto and the Specified German Entities and (f) any other share pledge agreement, bank account pledge agreement, global assignment agreement, security transfer agreement, IP rights transfer and assignment agreement, land charge or security purpose agreement (including any and all supplements thereto), in each case governed by the law of Germany, from time to time entered into among, or delivered by, certain Loan Parties and the Administrative Agent and/or certain other Secured Parties, for the benefit of the Administrative Agent and the other Secured Parties, and any other German law governed security agreement entered into, after the date of this Agreement by any Loan Party (as required by this Agreement or any other Loan Document) or any other Person for the benefit of the Administrative Agent and the other Secured Parties, as the same may be amended, restated, supplemented or otherwise modified from time to time.

  • Term Loan Collateral Agent means Credit Suisse, Cayman Islands Branch, as collateral agent for the lenders under the Term Loan Credit Agreement, together with its respective successors and permitted assigns under the Term Loan Credit Agreement exercising substantially the same rights and powers, or such other agent as may from time to time be appointed thereunder.

  • Foreign Security Documents means any agreement or instrument entered into by any Foreign Subsidiary Borrower that is reasonably requested by the Collateral Agent providing for a Lien over the assets (including shares of other Subsidiaries) of such Foreign Subsidiary Borrower.

  • ABL Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any ABL Obligations or under which rights or remedies with respect to such Liens are governed.

  • Loan Collateral With respect to any Mortgage Loan, the related Mortgaged Property and any personal property securing the related Mortgage Loan, including any lessor’s interest in such property, whether characterized or recharacterized as an ownership or security interest, and including any accounts or deposits pledged to secure such Mortgage Loan, and any Additional Collateral.

  • Term Loan Collateral means all of the assets of any Grantor, whether real, personal or mixed, upon which a Lien is granted or purported to be granted to any Term Loan Agent under any of the Term Loan Collateral Documents.

  • Prepetition Collateral means the collateral securing the Prepetition BP Secured Claim, including, without limitation, the Posted Collateral.
