Guarantee Rights definition

Guarantee Rights means the rights of the Borrower under any guarantees or warranties issued by the Builder, the Mooring EPC Contractor, the Mooring Installation Contractor or any manufacturer, supplier or repairer in respect of the manufacture, design, conversion, construction, supply, installation, operation and maintenance of the Vessel and/or the Mooring or any equipment of the Vessel and/or the Mooring or part thereof (including, without limitation, under or pursuant to the Building Contract or the Mooring EPC Contract).
Guarantee Rights means, in relation to a Rig, the rights of the Rig Owner which is the owner of that Rig under any guarantees and warranties issued by any counterparty to a Material Contract as more particularly described in schedule 7;
Guarantee Rights means the rights and benefits of a Shareholder in respect of Preferred Shares under the applicable guarantee indenture among Prefco, Bell Aliant GP (as guarantor) and CIBC Mellon Trust Company (as security trustee);

Guarantee Rights means the rights of the Borrower, Golar Energy and/or the Sponsors (or any of them) under any guarantees or warranties issued by the Builder, any manufacturer, supplier or repairer in respect of the manufacture, design, conversion, construction, supply, installation, operation and maintenance of the Vessel and/or the Mooring or any equipment of the Vessel and/or the Mooring or part thereof (including, without limitation, under or pursuant to the Hamworthy Contract).
Guarantee Rights means the rights of the Borrower under any guarantees and warranties issued by any counterparty to a Material Contract as more particularly described in Schedule 7;

Guarantors means together the Pre-Completion Guarantor and the Final Repayment Guarantor and Guarantor means either of them. Hamworthy Contract means the purchase order relating to the regasification module dated 8 November 2010 made between Golar Energy and Hamworthy Gas Systems AS. Hedging Bank means:
Guarantee Rights means the special rights of the Legacy Class A-4 Units set forth in Section 4.4(c).

  • Security Documents means the Security Agreement, the Mortgages, the Intellectual Property Security Agreement, the Pledge Agreement, the Facility Guarantee, and each other security agreement or other instrument or document executed and delivered pursuant to this Agreement or any other Loan Document that creates a Lien in favor of the Collateral Agent to secure any of the Obligations.
