Hit Compound Criteria definition

Hit Compound Criteria means (i) those criteria set forth in the Research Plan to be “Hit Compound Criteria,” and/or (ii) such other criteria as are approved by the JRC and agreed in writing by the Parties. If the Parties agree to any such other criteria, then their writing shall clearly set forth whether such criteria are in addition to, or alternative to, such criteria set forth in the Research Plan as of the Effective Date.
Hit Compound Criteria means (i) those criteria set forth in Exhibit 1.13.1 hereto, and (ii) such other criteria that are approved by the JRC in accordance with Section 2.5.9(a) and agreed in writing by the Parties in order for such compound to be deemed a Hit Compound. “Hit Compound” shall mean any Collaboration Compound that meets the Hit Compound Criteria with respect to a Collaboration Target.
Hit Compound Criteria means, with respect to a Compound, the criteria to be agreed by the JSC for a Research Program, as may be updated and amended from time to time as deemed appropriate by the JSC.

  • Disputes among the JRC or the Parties as to whether to change or add to the Hit Compound Criteria and/or the Lead Compound Criteria shall be non-justiciable, and the Hit Compound Criteria and the Lead Compound Criteria shall remain as they exist as of the Effective Date unless the Parties otherwise agree in writing.

Related to Hit Compound Criteria

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid a quantity soluble lead compound exceeding, when calculated as lead monoxide, five percent of the dry weight of the portion taken analysis.

  • Exempt compound means the same as defined in Rule 2.

  • Development Candidate means a Compound that meets the Development Candidate Criteria for the initiation of a Development Program for the treatment of CF, and which is the subject of a notice from Vertex to CFFT that Vertex intends to commence formal pre-clinical development of the Compound in the Field pursuant to the provisions of Section 3.1 hereof.

  • Licensed Compound means (a) 3,4-Diaminopyridine, the chemical structure of which is set forth on Exhibit B-2; and (b) any derivatives, isomers, metabolites, prodrugs, acid forms, base forms, salt forms, or modified versions of such compound in (a).

  • Diagnostic Product means In Vitro Diagnostics, In Vivo Diagnostic Agents and any product used for Diagnosis.
