IDB Documents definition

IDB Documents means, individually or collectively, as the context may require, each or all of this Lease Agreement, the IDB Indenture, the Letter of Representations, the Bond Purchase Agreement, the Remarketing Agreement, the Mortgages and such other documents as the IDB may enter into in order to consummate the transactions contemplated hereby and thereby.
IDB Documents means: (i) the Loan Agreement dated as of April 1, 1995 between JEDA and Venture Southeast; (ii) the Trust Indenture dated as of April 1, 1995 between JEDA and Bank One Trust Company, NA, as Trustee; (iii) the Bond Placement Agreement dated as of April 1, 1995 between JEDA, Venture Southeast and Bank One, Columbus, NA; (iv) the Remarketing Agreement dated as of April 1, 1995 between Venture Southeast and Bank One, Columbus, NA; (v) the Offering Memorandum with respect to the IDB's; (vi) the IDB's; (vii) the Certificate of Tax Covenants and Representations dated the date of issuance of the IDB's by JEDA and Venture Southeast; (viii) the Letter of Credit issued by Bank One with respect to the IDB's; (ix) the Reimbursement Agreement dated as of April 1, 1995 between Bank One and Venture Southeast (the "Reimbursement Agreement"); (x) the "Borrower Documents" (as such term is defined in the Reimbursement Agreement); and (xi) such other instruments, agreements and documents relating to the transactions contemplated by the foregoing documents as have been executed by, or as are binding upon, Venture Southeast, in each case amended through the date hereof.
IDB Documents means those certain industrial revenue bonds described as California Statewide Communities Development Authority Weekly Adjustable/Fixed Rate Industrial Development Bonds Series 1990 (Northwest Pipe & Casing Company Project) and the documents related to such bonds.

More Definitions of IDB Documents

IDB Documents means the County Lease, the Performance Agreement, and the Bonds.
IDB Documents means, collectively, the IDBs, the IDB Indenture, the Leaf River Mill Lease, the IDB Guaranty and each of the other documents, agreements and instruments more particularly described on Schedule 1.1(e).
IDB Documents means, collectively, the indentures and other documents evidencing or securing the IDB Bonds.

Related to IDB Documents

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • L/C Documents means the Letters of Credit, any draft or other document presented in connection with a drawing thereunder, the Applications and this Agreement.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Term Documents shall have the meaning assigned that term in the Intercreditor Agreement.

  • Contractor Documents means one or more document, agreement or other instrument required by Contractor in connection with the performance of the products and services being purchased by the State, regardless of format, including the license agreement, end user license agreement or similar document, any hyperlinks to documents contained in the Contractor Documents, agreement or other instrument and any other paper or “shrinkwrap,” “clickwrap,” “browsewrap” or other electronic version thereof.

  • Constitutive Documents means the Trust Deed or such other documents as defined in the Regulations.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Material Documents has the meaning set forth in Section 5.23.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Related Documents mean all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, security deeds, collateral mortgages, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Loan.

  • Merger Documents shall have the meaning assigned to it in Section 2.6 hereof.

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.

  • Borrower Documents shall have the meaning set forth in Section 6.06.

  • Equity Documents means collectively the documents evidencing subscription to Equity to the extent of equity component of cost of the Project.

  • Subordinated Documents means the Subordinated Note and any and all other documents, agreements, writings or instruments executed in connection therewith or pursuant thereto, in each case, as in effect on the date hereof and as amended, modified, restated or Refinanced in accordance with the terms hereof.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Bond Documents means the Bonds, the Indenture, the Loan Agreement, the Remarketing Agreement, the Remarketing Circular, and all amendments and supplements thereto.

  • Environmental Documents means, for any Person: (A) any and all documents received by the Person or its Subsidiaries from the United States Environmental Protection Agency (“EPA”) or any other Governmental Entity concerning the environmental condition of any property owned, leased or operated at any time by the Person or any Subsidiary of the Person, or the effect of the Person’s business operations or the business operations of any Subsidiary of the Person on the environmental condition of such property; (B) any and all documents submitted by the Person or any Subsidiary of the Person during the past five years to the EPA or any state, county or municipal environmental or health agency concerning the environmental condition of any property owned, leased or operated at any time by the Person or any Subsidiary of the Person, or the effect of the Person’s business operations or the business operations of any Subsidiary of the Person on the environmental condition of such property, and (C) any report, study, assessment, audit, or other similar document that addresses any issue of actual or potential noncompliance with, actual or potential liability under or cost arising out of, or actual or potential impact on business in connection with, any Environmental Law or any proposed or anticipated change in or addition to Environmental Law, that may in any way affect the Person or any entity for which it may be liable or any Subsidiary of the Person.

  • Required Documents means those documents identified in Section 2(I) of the Custodial Agreement.

  • Pass Through Documents means each Pass Through Trust Agreement, the Note Purchase Agreement, each Escrow Agreement, each Deposit Agreement, the Intercreditor Agreement and each Liquidity Facility.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Notes and the Trust Securities.

  • Documents includes any and all instruments, documents, agreements, certificates, indentures, notices and other writings, however evidenced.

  • Agreement Documents means the instructions to proponents, scope of service, addenda, response to the RFP, and the acceptance of proposal together with all subsequently negotiated agreements, written amendments, modifications, and supplements to such documents and all written authorizations signed by the administrator(s) amending, deleting, or adding to the contract.

  • Guarantor Documents means this Guaranty and all other certificates, documents, agreements and instruments delivered to any Guaranteed Party under or in connection with this Guaranty and the Loan Documents.

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Related Agreements means the Deeds, each Assignment and Assumption of Lease, the Xxxx of Sale, the Assignment and Assumption Agreement, the Asset Demarcation Agreement, the Easements, the Interconnection Agreements, the Transition Services Agreement, the Release of Mortgage Indenture, the Guaranties, the Escrow Agreement and the other agreements, certificates and documents to be delivered pursuant to this Agreement.
