Implementing Agreements definition

Implementing Agreements means the Construction Contract, the Limited Assignment of Construction Contract, the Lender’s Direct Agreement, the Insurance Trust Agreement and all other documents and agreements delivered by the Parties at Financial Close under Section 4.1, excluding the Lending Agreements.

Implementing Agreements means, the NBC Note, the Xenon 2 Convertible ----------------------- Note, the Governance Agreement, the Registration Rights Agreement, the License Agreement, the Advertising Agreement, the CNET Voting Agreement and the CNET Standstill Agreement.

• This Framework shall take effect and become binding on all participants in the Implementing Agreements and Annexes from the date of its approval as a decision by the Governing Board.

More Definitions of Implementing Agreements

Implementing Agreements means the business transfer agreements, the intellectual property transfer agreements/assignments, and all other agreements, documents and instruments to be executed by Ashland, the Asset Selling Corporations and Buyer, the Buyer Corporations or any of their respective Affiliates, at or after the Closing for the purpose of implementing the transfer and conveyance on the Closing Date, or as soon thereafter as can be effected, of the Conveyed Assets to Buyer or the Buyer Corporations by Ashland and the Asset Selling Corporations and/or the assumption by Buyer or the Buyer Corporations of the Assumed Liabilities.

Implementing Agreements means the Lease, the Sublease, the Indenture, the Financing Agreement, the TIF Support Facility Agreement, the Project Development Agreement and the Pledge Resolution.

Implementing Agreements has the meaning ascribed to that term in Section 2.01(b).

Implementing Agreements means this Agreement, the License Agreement, the Supply Agreement, the Research and Development Collaboration Agreement, the Stock Purchase Agreement and the Arbitration Agreement.
