Improvement Product definition

Improvement Product means any product, process or use thereof (i) which is covered by a Valid Claim contained in any of the Improvement Patents in the country in which the product, process or use thereof is made, used, sold, imported, offered for sale or transferred; (ii) which is developed, produced or manufactured using a process or product which is covered by a Valid Claim contained in any of the Improvement Patents in the country in which the product, process or use thereof is made, used, sold, imported, offered for sale or transferred; or (iii) the use of which is covered by a Valid Claim contained in any of the Improvement Patents in the country in which the product, process or use thereof is made, used, sold, imported, offered for sale or transferred. Improvement Products do not include Post-CHB Products.
Improvement Product means any modification or variation of a Product for use in the Field that is conceived or developed for any of the following purposes or has any of the following consequences: (i) improves the Product's overall performance; (ii) reduces the Product's cost of materials, parts, production or manufacture; (iii) increases the Product's durability or continuous performance characteristics; (iv) increases or enhances the Product's marketability or commercial acceptance; (v) replaces or displaces the Product in any commercial market; or (vi) any modification or variations of a Product that competes or has the potential to compete with the related Product in the Field.
Improvement Product. Improvement Product shall mean any therapeutic and/or preventative pharmaceutical product, other than Betabloc, within the Field that has previously been Developed as an R&D Candidate.
