Initial R&D Plan definition

Initial R&D Plan shall have the meaning set forth in Section ---------------- 5.01(a).
Initial R&D Plan means that initial research and development plan dated [***] and entitled “Initial Research and Development Plan”. 1.19 “Intellectual Property” means any and all rights arising under or by virtue of technology, inventions, discoveries, Improvements, Patents, copyrights, copyright applications, industrial designs, industrial design applications, trademarks, trademark applications, mask works, and rights in respect of Know-How, whether or not Patented or copyrighted or registered or protected, or capable of such registration or protection. Confidential treatment has been requested with respect to the omitted portions.
Initial R&D Plan means that initial research and development plan dated [***] and entitled “Initial Research and Development Plan”.

  • The Initial R&D Plan has been prepared and the initial R&D Payments have been determined on the assumption that the First Female Product will be a 510(k) Product and not a PMA Product.

Initial R&D Plan consists of the initial Research Plan (as defined in Section 1.95) and the initial Development Plan (as defined in Section 1.32) as of the Effective Date and is attached as Exhibit C.
