ISO Plans definition

ISO Plans means the Plan and all other incentive stock option plans under Section 422 of the Code adopted or assumed by corporations that are Qualified Employers.
ISO Plans has the meaning ascribed to it in Section 1.15.

Examples of ISO Plans in a sentence

  • The strike price for the ISO shall be the fair market value for the particular class of capital stock of the Company granted to Employee under the ISO Plans on the ISO Grant Date.

  • The ISO Plans will provide for the grant to Company Directors, Company Officers and other key employees of the Company, including Employee, incentive stock options (the “ISO”) to acquire shares of the capital stock of the Company in accordance with the terms of the ISO Plans.

  • In no event shall an Option or SAR be granted pursuant to the Subsidiary ISO Plans or this Plan without the consent of the Committee.

  • It shall be the responsibility of the Committee (as hereinafter defined) to establish procedures to ensure that the total number of Options and SARs granted under the Subsidiary ISO Plans and this Plan do not exceed the grant of rights for that number of Shares as is determined by the Supervisory Board of the Company from time to time.

  • The Shares that may be subject to Options granted under the Subsidiary ISO Plans or under this Plan may be authorized and unissued Shares or Shares reacquired by the Company, or any subsidiary of the Company, and held as treasury stock.

  • Prior Plans means, collectively, the Company’s 2006 Long-Term Incentive Plan, as amended, 2009 Long-Term Incentive Plan, 2012 Long-Term Incentive Plan and 2013 Long-Term Incentive Plan. Awards granted under the Prior Plans continue to be governed under the terms of those Prior Plans.

  • Foreign Plans shall have the meaning set forth in Section 3.11(d).

  • Company Stock Option Plans means the Company’s 2000 Employee Stock Option Plan, 1997 Employee Stock Option Plan and 1995 Stock Option Plan, in each case as amended.

  • Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.

  • Stock Option Plans means any stock option plan now or hereafter adopted by the Partnership or the General Partner.

  • Sub-Plans means any sub-plan to the Plan that has been adopted by the Board or the Committee for the purpose of permitting the offering of Awards to employees of certain Designated Foreign Subsidiaries or otherwise outside the United States of America, with each such sub-plan designed to comply with local laws applicable to offerings in such foreign jurisdictions. Although any Sub-Plan may be designated a separate and independent plan from the Plan in order to comply with applicable local laws, the Absolute Share Limit and the other limits specified in Section 5(b) shall apply in the aggregate to the Plan and any Sub-Plan adopted hereunder.

  • Statutory Plans means statutory benefit plans which a Party and any of its Subsidiaries are required to participate in or comply with, including any benefit plan administered by any federal or provincial government and any benefit plans administered pursuant to applicable health, tax, workplace safety insurance, and employment insurance legislation;

  • Welfare Plans shall have the meaning set forth in Section 3.2.4.

  • Old Plans has the meaning set forth in Section 6.8(b).

  • Option Plans has the meaning assigned thereto in Section 2.5(b).

  • Company Benefit Plans has the meaning set forth in Section 3.16(a).

  • Benefit Plans shall have the meaning set forth in Section 3.13(a).

  • Title IV Plans means all Pension Plans that are subject to Title IV of ERISA, 29 U.S.C. Section 1301 et seq., other than Multi-Employer Plans.

  • Company Employee Plan means any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written or unwritten or otherwise, funded or unfunded, including without limitation, each "employee benefit plan," within the meaning of Section 3(3) of ERISA which is or has been maintained, contributed to, or required to be contributed to, by the Company or any Affiliate for the benefit of any Employee, or with respect to which the Company or any Affiliate has or may have any liability or obligation;
