Issuer Collateral definition

Issuer Collateral means all of the assets which from time to time are, or are expressed to be, the subject of the Issuer Security created pursuant to the Issuer Security Documents.
Issuer Collateral has the meaning set forth in Section 20.
Issuer Collateral means the Collateral subject to the Security Interests described under Section 3(b)(i)(A)(6) through Section 3(b)(i)(A)(9) of Schedule 2 (Agreed Security Principles).

Examples of Issuer Collateral in a sentence

  • Issuer shall, and shall cause each of its Subsidiaries to, allow, at the sole cost of Issuer, Collateral Agent or any Purchaser, during regular business hours upon reasonable prior notice (provided that no notice shall be required when an Event of Default has occurred and is continuing), to visit and inspect any of its properties, to examine and make abstracts or copies from any of its books and records, and to conduct a collateral audit and analysis of its operations and the Collateral.

  • Issuer, Collateral Agent and the Purchasers each hereby agree to the terms and conditions set forth on Exhibit C attached hereto.

  • The entries in the Register shall be conclusive absent manifest error, and Issuer, Collateral Agent and Purchasers shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as Purchaser hereunder for all purposes of this Agreement.

  • Copies of the Accountants’ Effective Date Recalculation AUP Report or any other accountants’ report provided by the Independent accountants to the Issuer, Collateral Trustee, Collateral Manager or Collateral Administrator will not be provided to any other party including the Rating Agency (other than as provided in an access letter between the accountants and such party).

  • Promptly (and in no event later than three Business Days) after the occurrence of any Default actually known to a Trust Officer of the Trustee or after any declaration of acceleration has been made or delivered by the Trustee pursuant to Section 5.2, the Trustee shall transmit by mail to the Issuer, Collateral Manager and all Holders of Notes, as their names and addresses appear in the Note Register, notice of all Defaults hereunder known to the Trustee, unless such Default shall have been cured or waived.


More Definitions of Issuer Collateral

Issuer Collateral means, collectively, all real, personal and mixed property which is subject or is intended to become subject to the security interests or Liens granted pursuant to any of the Issuer Collateral Documents; provided that "Issuer Collateral" shall not include any Released Assets (as defined in any Issuer Collateral Document).
Issuer Collateral means (a) the Issuer Security Agreement Collateral, (b) the Guarantee, (c) a pledge of the membership interests in the Issuer owned by the Members and (d) any other collateral set forth in the Issuer Security Agreement or the Issuer Pledge Agreement.
Issuer Collateral has the meaning given to such term in the Indenture Security Agreement as in effect on the date hereof.
