Knowledge of Acquiror definition

Knowledge of Acquiror means the actual knowledge of those individuals set forth in Section 1 of the Acquiror Disclosure Letter.

Knowledge of Acquiror means the knowledge of the individuals set forth on Section 1.1 of the Acquiror Disclosure Schedule, after reasonable inquiry.

• Acquiror has not received any written notice and, to the Knowledge of Acquiror, no other communication has been received to the effect that it is not in compliance with any applicable Laws.

• As of the date of this Agreement, there is no action, suit or proceeding pending or, to the Knowledge of Acquiror, threatened in writing against Acquiror or its Subsidiaries that, individually or in the aggregate, would reasonably be expected to prevent, materially delay or materially impair the ability of Acquiror or the Tower Operator to consummate the transactions contemplated by this Agreement and each of the Collateral Agreements to which it is a party (if any).

Knowledge of Acquiror means the actual knowledge of all directors, shareholders, officers and senior employees of Acquiror, including but not limited to, Xxxx X.

Knowledge of Acquiror means such facts and other information that as of the date of determination are actually known to the principal accounting officer or any “executive officer” (as such term is defined in Rule 3b-7 under the Exchange Act) of Acquiror.

Knowledge of Acquiror means the actual (but not constructive or imputed) knowledge of the persons listed on Schedule 1.1(a) as of the date of this Agreement without any implication of verification or investigation concerning such knowledge.

Knowledge of Acquiror or “Acquiror’s Knowledge” of a particular fact or matter means the knowledge the Persons set forth on Schedule 1.01(b) have or could reasonably be expected to have acquired in the course of performance of their respective duties for Acquiror.

Knowledge of Acquiror means the actual knowledge, without any independent investigation or inquiry, of the officers of the Acquiror.
