Knowledge Person definition

Knowledge Person means any of the persons listed on Schedule 1.01(a) to the Disclosure Letter, and any individual that succeeds such person in the role identified on Schedule 1.01(a).

Knowledge Person means Xxxxxxx Xxxx who is the Chief Executive Officer of Seller and is likely to have knowledge of the foregoing matters on behalf of Seller.

Knowledge Person has the meaning set forth in the definition of “Knowledge”.

• To the Knowledge of each Seller and to the Knowledge of each Seller Knowledge Person, the representations and warranties contained in this Article 3 do not contain any untrue statement of a material fact or omit a material fact necessary to make the statements and information in this Article 3 not misleading.

• References to the “knowledge” of Seller (or words of similar import) shall refer only to the actual conscious knowledge of the Knowledge Person, without any duty to investigate the matter to which such actual knowledge, or the absence thereof, pertains, and shall not be construed, by imputation or otherwise, to refer to the knowledge of any other person, whether employed by Seller or otherwise, or to impose any liability on the Knowledge Person.

• To the Knowledge of each Seller Knowledge Person, the consummation of the transactions contemplated herein will not adversely affect in any material manner the Company’s business relationship with any such supplier or customer.

• Purchaser has no liability or responsibility under this Section 10.1.10 for any statement or omission not actually known by the Knowledge Person.

Knowledge Person means (a) with respect to Issuer and Holdings, any of the following Authorized Officers thereof (or, as applicable, their respective successors to such Authorized Officer positions): Xxxxx Xxxxx (President and Chief Executive Officer), Xxxxxxx XxXxx (Chief Operating Officer) and Xxxxxx Xxxxxx (Chief Financial Officer), (b) with respect to the Parent, the Seller, and the Manager, any of the following Authorized Officers thereof (or, as applicable, their respective successors to such Authorized Officer positions): Xxxxx Xxxxx (Chairman and Chief Executive Officer), Xxxxxxx XxXxx (Chief Operating Officer), Xxxxxx Xxxxxx (Chief Financial Officer), and Xxxxx Xxxxx (Senior Managing Director), and (c) with respect to the Operator, any of the following Authorized Officers thereof (or, as applicable, their respective successors to such Authorized Officer positions): Xxxxx Xxxxx (Chief Executive Officer) and Xxxxxxx XxXxx (President and Chief Operating Officer).

Knowledge Person means each individual listed on (i) Schedule 4.31(a) of the Disclosure Schedules for Boral Building Products, (ii) Schedule 4.31(b) of the Disclosure Schedules for Boral Stone, (iii) Schedule 4.31(c) of the Disclosure Schedules for Boral Lifetile, and (iv) Schedule 4.31d) of the Disclosure Schedules for Boral Windows.

Knowledge Person means the Seller.

Knowledge Person means with respect to the Company any of Elizabeth Posillico, Vera Wong, Jim Porter or Robin Conrad and means with respect to Parent any of Jeffrey Wolf, William Ostrander and John Prendergast.

Knowledge Person means with respect to the Company, Lxxxxxxx Xxxxxx and means with respect to Parent, Jxxxx Xxxxxxx.
