License Subs definition

License Subs means the wholly-owned Restricted Subsidiaries of the Borrower formed to hold the Licenses.

License Subs means all such License Subs.

License Subs shall have the meaning set forth in the introductory paragraph hereof.

Examples of License Subs in a sentence

• Except as set forth on Schedule 6 attached hereto, the Licenses have been duly issued are in full force and effect and, as of the Agreement Date, are held by License Subs as set forth on Schedule 7 attached hereto.

• Promptly after the transfer of the FCC Licenses to the License Subs, the Borrower shall provide to the Administrative Agent copies of any required consents to such transfer from the FCC and any other governmental authority, together with a certificate of an Authorized Signatory stating that all Necessary Authorizations relating to such transfer have been obtained or made, are in full force and effect and are not subject to any pending or threatened reversal or cancellation.

• At the time of the transfer of the Licenses to the License Subs, the Borrower shall provide to the Administrative Agent copies of any required consents to such transfer from the FCC and any other governmental authority, together with a certificate of an Authorized Signatory stating that all Necessary Authorizations relating to such transfer have been obtained or made, are in full force and effect and are not subject to any pending or threatened reversal or cancellation.

• The Borrower shall not permit the License Subs to have any business activities, operations, assets, Indebtedness, Guaranties or Liens (other than holding FCC Licenses and owning the Ownership Interests of other License Subs, and other than pursuant to a Subsidiary Guaranty and Subsidiary Security Agreement issued in connection herewith or any agreement referred to in the preceding sentence).

• The Borrower shall not permit the License Subs to have any business activities, operations, assets, Indebtedness, Guaranties or Liens (other than pursuant to a Subsidiary Guaranty and Master Subsidiary Security Agreement issued in connection herewith).

More Definitions of License Subs

License Subs means, collectively, NexCom, Inc., Clearcall, Inc., Global PCS, Inc., Clearwave, Inc., DigiNet PCS, Inc., DigiCom, Inc. and DigiCall, Inc., each a Delaware corporation, and AirCom PCS, Inc. and QuinCom, Inc., each an Alabama corporation and any other wholly-owned Subsidiary of the Borrower designated as a License Sub by notice to the Administrative Agent, in each case, the Capital Stock of which is pledged to the Administrative Agent pursuant to a Borrower's Pledge Agreement or a Subsidiary Pledge Agreement, as appropriate; and "License Sub" shall mean any one of the foregoing License Subs.

License Subs means each of San Diego License Sub, Flagstaff License Sub, Kingman License Sub, Lake Tahoe License Sub, Chico License Sub, Palmdale License Sub, Reddxxx Xxxense Sub, Victorville License Sub, Flint License Sub, Mansfield License Sub, Lexington License Sub, Charleston License Sub, and any other special purpose Subsidiary of an Operating Sub or Company which is created or acquired to hold the FCC Licenses acquired in connection with any Permitted Acquisition and "LICENSE SUBS" means all such License Subs.

License Subs mean Estrella/License, WNJU/License, and each of the Subsidiaries of Borroxxx xxxxed pursuant to the requirements of SECTION 3.3(F) hereof.

License Subs means, collectively, Tritel A/B Holding Corp., Tritel C/F Holding Corp., NexCom, Inc., Clearcall, Inc., Global PCS, Inc., Clearwave, Inc., DigiNet PCS, Inc., DigiCom, Inc. and DigiCall, Inc., each a Delaware corporation, and AirCom PCS, Inc. and QuinCom, Inc., each an Alabama corporation, and any other wholly-owned Subsidiary of the Borrower designated as a License Sub by notice to the Administrative Agent, in each case, the Capital Stock of which is pledged to the Administrative Agent pursuant to a Borrower's Pledge Agreement or a Subsidiary Pledge Agreement, as appropriate; and 'License Sub' shall mean any one of the foregoing License Subs."

License Subs means the Subsidiaries of the Borrower identified as ------------ License Subs on Schedule 2 attached hereto, together with any other Subsidiaries ---------- of the Borrower meeting the description of "License Subs" in Section 5.2 hereof formed after the Agreement Date.

License Subs means, collectively, BLC, the WMTV Trust License Sub and any other Wholly-Owned Subsidiary of the Borrower designated as a License Sub by notice to the Administrative Agent, in each case, the Ownership Interests of which are pledged to the Administrative Agent pursuant to a Borrower Pledge Agreement or a Subsidiary Pledge Agreement, as appropriate; and "License Sub" shall mean any one of the foregoing License Subs.
