Licensed SSL IP definition

Licensed SSL IP shall also include any of (i) or (ii) in the immediately preceding sentence that become Controlled by SSL or any member of the SSL Group at any time following the Effective Date until the earlier of (A) the fifth (5th) anniversary of the Effective Date, and (B) a Change of Control of SSL to a competitor of SunEdison or any member of the SunEdison Group (but, for the avoidance of doubt, only for so long as such Intellectual Property is Controlled by SSL or any member of the SSL Group).

For clarity, “Licensed SSL IP” expressly excludes: (A) any Intellectual Property that is acquired or otherwise becomes Controlled by SSL or any member of the SSL Group at or after the SSL/Globe Effective Time and (B) any Intellectual Property that is owned or Controlled by Globe (or any of its Affiliates (other than SSL and its Subsidiaries)) prior to, as of or after the SSL/Globe Effective Time, provided, however, that any Licensed SSL IP that is owned, in whole or in part, by SSL immediately prior to the SSL/Globe Effective Time will remain Licensed SSL IP during the remaining term of this Agreement, regardless of any subsequent assignment of that Intellectual Property.”

  • Subject to the terms and conditions of this Agreement, SSL hereby grants, on behalf of itself and the other members of the SSL Group, and shall cause the other members of the SSL Group to grant, to SunEdison an exclusive, worldwide, perpetual, non-transferable (except as provided in Section 6.9), royalty-free right and license, with the right to grant sublicenses as set forth in Section 2.3, to use the Licensed SSL IP in the SunEdison Field.

SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Licensed Trademark means those Trademarks set forth on Exhibit A attached hereto and such other Trademarks as may be designated by NovaDel in writing from time to time, and any registrations of the foregoing and pending applications relating thereto.

  • Licensee Patents means any Patents within the Control of Licensee as of the Effective Date and at any time during the Term relating to the Product.

  • Joint IP means Joint Know-How and Joint Patent Rights.
