Manager Intellectual Property definition

Manager Intellectual Property shall have the meaning ascribed to it in Section 11.5.
Manager Intellectual Property means (i) all software, including data and information processed or stored thereby, used by Manager or its Affiliates in connection with Manager’s services, systems and programs provided to the Brand Hotels; (ii) all manuals, brochures, directives, policies, programs and other information issued to or used by the Brand Hotels; (iii) customer data, customer lists and personal guest profiles and data regarding guest preferences, derived from or contained in any database controlled by Manager or its Affiliates including any loyalty programs such as _____________; provided, however, that all customer data, customer lists and personal guest profiles and data regarding guest preferences, data related to the business of Owner, or data related to other personal information of or relating to Owner’s customers, suppliers or contractors derived from the operation of the Hotels (collectively, “Owner Data”) shall remain the property of Owner and shall be protected in accordance Section 31.17 and with Exhibit H (iv) all Protected Names and Protected Marks; and (v) all trade secrets, confidential information and other information, materials and copyrightable or patentable subject matter developed, acquired, licensed or used by Manager or its Affiliates for the Brand Hotels (for example, revenue and inventory management programs, processes or systems, brand and pricing strategies, and internal audit processes and materials).
Manager Intellectual Property means “Intellectual Property” as defined in the Hotel Management Agreements.

More Definitions of Manager Intellectual Property

Manager Intellectual Property means the intellectual property described on Exhibit A attached hereto, together with all Know-How associated therewith. For the avoidance of doubt, “Manager Intellectual Property” does not include (i) Resort Intellectual Property, (ii) software purchased by the Casino Tenant from third-party vendors (even if certain modules comprising Manager Intellectual Property are based upon or otherwise use data from such third-party software), nor (iii) modules in use in connection with the Gaming Operations prior to the date hereof.
Manager Intellectual Property means the trademark and trade name "CAPITALSOURCE" and related trademarks, including, without limitation, the trademarks registered with the United States Patent and Trademark Office as U.S. Registration Nos. 2,611,880, 2,627,444 and 1,991,438. "Manager Permitted Disclosure Parties" has the meaning set forth in Section 5(a) hereof. "Master Transaction Agreement" means that Master Transaction Agreement by and between the Company and CapitalSource Inc. dated as of October [ ], 2008, as amended, supplemented or otherwise modified from time to time.
Manager Intellectual Property shall have the meaning as set forth in Section 24.2(a).

  • Seller Intellectual Property means any Intellectual Property that is owned by either Seller and primarily used in connection with the Business.

  • Excluded Intellectual Property means any Intellectual Property (including Software, but excluding Trademarks), owned by Seller and its Affiliates as of the date hereof that is not Acquired IP.

  • Transferred Intellectual Property means (i) all Intellectual Property Rights owned by the Acquired Companies, (ii) the Transferred Trademarks, (iii) the Transferred Patents, (iv) the Transferred Domains, and (v) all other Intellectual Property Rights owned by Sellers or their respective Affiliates as of the Closing Date that are exclusively used in or are exclusively related to the development, manufacture, marketing, use or sale of the Business Products.

  • Purchased Intellectual Property has the meaning set forth in Section 1.2(g).

  • New Intellectual Property means all data, discoveries, developments, inventions (whether patentable or not), improvements, methods of use or delivery, processes, know-how, or trade secrets which are generated, conceived, reduced to practice or otherwise made by or on behalf of Recipient as a result of the conduct of the Research Plan or as a result of the use of any Data Set provided to Recipient under this Agreement.

  • Project Intellectual Property means the legal rights relating to inventions (including Subject Inventions as defined in 37 CFR 401), patent applications, patents, copyrights, trademarks, mask works, trade secrets, and any other legally protectable information, including computer software, first made or generated during the performance of this STTR Agreement.
