MSP acknowledges that NOVA and Member, in their discretion and in accordance with the terms of the Merchant Agreements, may pass through to Referred Merchants any fees or expenses related to implementing changes to software/hardware requirements deemed necessary by the Credit Card Associations or other service providers.
Proposed modifications to the following components of the Merchant Program shall be deemed “material,” including, but not limited to, products or services offered, Merchant Agreements, applications, and Merchant Criteria.
Merchant Agreements shall be on forms provided by NOVA and Member and shall define the terms upon which NOVA and Member will provide Merchant Services to Merchant.
Upon any termination of this Agreement, Company will own all Merchant Agreements with no further obligations under this Agreement, except its obligations to WFB which survive termination as described in Section 10.10.
Company shall remain responsible for all chargebacks and other Losses related to the Merchant Program, Merchant Agreements, ISO/MSP Agreements, Merchants, ISOs/MSPs, and Agent Blanks as provided in Section 8.2 and elsewhere herein.
