Merchant Agreement. The Owner Guarantees the Performance of all of the representations, warranties, covenants (collectively, the “Representations”) made by Merchant in this Security Agreement and the Agreement, as each agreement may be renewed, amended, extended or otherwise modified (the “Guaranteed Obligations”). To the extent there is no violation of the Representations then the Owner(s) will not guaranty the payment of the Purchase Amount by the Merchant, or guaranty that the Merchant will generate Future Receivables sufficient to meet its obligations under the Merchant Agreement.

Merchant Agreement. Concurrent with the execution of this Agreement, the Parties have executed a Merchant Card Processing Agreement in substantially the form attached hereto as Exhibit 1(the “Merchant Agreement”). If any Network changes or clarifies rules concerning any requirement that the Bank enter into an agreement in a form identical or similar to the Merchant Agreement directly with any Customer, Company and the Bank will work together in good faith to cause such Customer to enter into all required agreements and otherwise comply with such Rule changes or clarifications.
Merchant Agreement. During the term of this Agreement, Merchant will permit Cardholders to use their Debit Cards to initiate Payment Transactions at Merchant’s Locations and will process all Payment Transactions under and in accordance with this Agreement. All depositors are to enter their own PIN in the PIN pad to initiate Payment Transactions. Merchant will not request any Cardholder to disclose the Cardholder’s PIN, will not enter or store the Cardholder’s PIN in a Terminal, or in any manner make the PIN accessible to any person. If Merchant acquires knowledge of a Cardholder’s PIN, inadvertently or otherwise, Merchant will not disclose or permit the disclosure of the Cardholder’s PIN to any third party. Merchant may require Cardholders to provide any personal identification as a condition of permitting the use of Debit Cards unless prohibited by Bank. Except as provided in this Agreement, Merchant will not impose any additional charge or extract any agreement or condition in connection with Payment Transactions. Merchant will prominently display all promotional materials provided by Bank to indicate Merchant’s participation in the POS System. Merchant agrees to use the decals, signs, printed and broadcast materials, and other renditions of the Marks in strict compliance with the standards prepared by Bank, including all appendices thereto, as amended from time to time. Merchant will comply with such other procedures as Bank may specify from time to time.
