Mortgage Loan Files definition

Mortgage Loan Files means, in relation to each Mortgage Loan, the file or files (including files kept in microfiche format or similar electronic data retrieval system) containing correspondence between the Borrower and the Seller and including the Standard Mortgage Documentation applicable to that Mortgage Loan, each letter of offer in respect of such Mortgage Loan and other relevant documents;
Mortgage Loan Files has the meaning specified thereto in the Mortgage Loan Custodial and Disbursement Agreement.
Mortgage Loan Files means the Mortgage Loan Documents and all correspondence and other materials relating to the Mortgagor, the Mortgaged Property or the Mortgage Loan, its origination or servicing.

  • The Purchaser shall have the right to review the Mortgage Loans and the related Mortgage Loan Files to determine the characteristics of the Mortgage Loans which shall affect the Federal income tax consequences of owning the Mortgage Loans and the Seller shall cooperate with all reasonable requests made by the Purchaser in the course of such review.

  • It is understood and agreed that the representations and warranties set forth in this Section 2.03(a) shall survive delivery of the respective Owner Mortgage Loan Files to the Trustee or the Custodian.

  • The Purchaser shall have the right to review the Mortgage Loans and the related Mortgage Loan Files to determine the characteristics of the Mortgage Loans which shall affect the federal income tax consequences of owning the Mortgage Loans and the Seller shall cooperate with all reasonable requests made by the Purchaser in the course of such review.

  • The Trustee may at any time on or after the Closing Date, with the consent of the Master Servicer and the Seller, appoint one or more Custodians to hold all or a portion of the Owner Mortgage Loan Files as agent for the Trustee, by entering into a Custodial Agreement.

  • Subject to any applicable law concerning document retention requirements, the Servicer may maintain any Servicer Mortgage Loan File, or any portion thereof, on microfilm, microfiche, optical storage or magnetic media and may retain the microfilm, microfiche, optical storage or magnetic media in lieu of hard copies of the documents required to be maintained in such Servicer Mortgage Loan Files.

  • The Servicer must grant the Master Servicer access to all books, records and files relating to the Servicer's systems and procedures for servicing Mortgage Loans as to all Servicer Mortgage Loan Files or to the Servicer's compliance with the terms and conditions of this Agreement.

  • If this Agreement with the Servicer is terminated pursuant to Section 19.2.3 hereof, the Servicer shall deliver all Servicer Mortgage Loan Files, in their entirety, for those Mortgage Loans serviced under this Agreement, as well as any other documents or reports held by the Servicer concerning such Mortgage Loans, to the transferee designated by the Trustee and shall assist in the efficient and timely transfer of the servicing to such transferee.

  • The Servicer agrees to permit the Master Servicer, from time to time to conduct audits or inspections of any Servicer Mortgage Loan Files at one or more of the Servicer's offices during normal business hours with advance notice.

  • It is understood and agreed that the representations and warranties set forth in this Section 2.03(b) shall survive delivery of the respective Owner Mortgage Loan Files (and Retained Mortgage Loan Files, if applicable) to the Custodian and shall inure to the benefit of the Trustee notwithstanding any restrictive or qualified endorsement or assignment.

Mortgage Loan Files means the underwriting, credit and closing documentation, custodial documents, escrow documents, and all other documents in the possession of the Company or any Company Subsidiary pertaining to a Mortgage Loan or reasonably necessary for prudent servicing of a Mortgage Loan, or as may be specifically required by any Investor.
Mortgage Loan Files means the file or files relating to each Mortgage Loan (including files kept in microfiche format or similar electronic data retrieval system or the substance of which is transcribed and held on an electronic data retrieval system) containing, inter alia, correspondence between the Borrower and the Originators or the Seller and including mortgage documentation applicable to the Mortgage Loan, each letter of offer for that Mortgage Loan, the Valuation Report (if applicable) and, to the extent available, the solicitor's or licensed conveyancer's Certificate of Title;
Mortgage Loan Files means any and all files, insurance documents, agreements, books, papers, ledger cards, reports, computer printouts, imaged documents, magnetic tapes and other documents and records (other than the Mortgage Loan Instruments) relating to any Mortgage Loan or Mortgage Servicing Agreements and maintained by Seller. With regard to imaged documents, Seller, however, only will be required to maintain its current system for at least six months, will make Seller's software supplier and Seller's Employees reasonably available to cooperate with Purchaser to convert the documents to Purchaser's system, but Seller shall not be obligated to spend more than $3,000 in out of pocket costs for such cooperation. Without limitation the files shall include all MI insurance policies or certificates, all current hazard insurance policies, a copy of Seller's master mortgage impairment insurance policy, current flood insurance policies or evidence that flood insurance is not required and a copy of the last premium xxxxxxxx for all insurance policies; all loan collection record files for loans which have been delinquent at any time including collection correspondence, attorney correspondence and property inspections; and all records of foreclosure, bankruptcy, assumptions and pay-off demands.
Mortgage Loan Files means the Mortgage Loan Documents (other than ------------------- the Mortgage Documents) and all papers and computerized records customarily maintained by the Servicer in servicing mortgage loans comparable to the Mortgage Loans in accordance with the Servicing Standards and the provisions of Section 3.02 of the Servicing Agreement.

Related to Mortgage Loan Files

  • Mortgage Loan File for inclusion in the Mortgage Loan File (to the extent such documents are in the possession of the Special Servicer) and copies of any additional related Mortgage Loan information, including correspondence with the Borrower Related Parties, and the Special Servicer shall promptly provide copies of all of the foregoing to the Servicer as well as copies of any analysis or internal review prepared by or for the benefit of the Special Servicer, provided that, such materials shall not include any Privileged Information.

  • Loan Files means the documents specified in Section 2.1 of the Sale Agreement.

  • Servicer Mortgage Loan File As defined in each of the Servicing Agreements.

  • Retained Mortgage Loan File A file for each Mortgage Loan maintained by the Servicer prior to any Document Transfer Date and by the Custodian after any Document Transfer Date that contains the documents specified in Section 2.01(b) of the Pooling and Servicing Agreement and any additional documents required to be added to the Retained Mortgage Loan File pursuant to the Pooling and Servicing Agreement.

  • Mortgage Loan Seller Sub-Servicer A Sub-Servicer required to be retained by the Master Servicer by a Mortgage Loan Seller, as listed on Exhibit S to this Agreement, or any successor thereto.

  • Servicing File The items pertaining to a particular Mortgage Loan including, but not limited to, the computer files, data disks, books, records, data tapes, notes, and all additional documents generated as a result of or utilized in originating and/or servicing each Mortgage Loan, which are held in trust for the Trustee by the Servicer.

  • Countrywide Mortgage Loans The Mortgage Loans identified as such on the Mortgage Loan Schedule for which Countrywide is the applicable Seller.

  • PMI Mortgage Loans The list of Mortgage Loans insured by the PMI Insurer attached hereto as Schedule II.

  • CREFC® Special Servicer Loan File The data file in the “CREFC® Special Servicer Loan File” format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.

  • Mortgage Loan Schedule shall have the meaning assigned to such term in the recitals.
