New Retailer definition

New Retailer means an entity that is not an Naxos China Retailer or an Excluded Retailer and with whom Naxos China intends to enter into an agreement during the Term for the distribution and exploitation of content to consumers.
New Retailer means any person engaged in the operation of retail stores or the making of direct sales in the United States, together with any other person directly or indirectly controlled by such person and any franchisees of such person using such person's name, logo, trademarks and service marks or similar proprietary designations. "OPERATING PROCEDURES" means the instructions and procedures to be followed by Retailers in connection with the Program, a copy of which is set forth as Exhibit A hereto, as such instructions and procedures may be amended from time to time. "PRIMARY DIVESTITURE DATE" shall have the meaning given to such term in Section 13.02 (a). "POSTAGE BASE RATE" means Thirty-two Cents ($.32).
New Retailer has the meaning set forth in Article IX hereof.
