Terms used in this Supplement shall have the meanings given to them in the Agreement and the Novated Lease.
Each Aircraft shall as of the applicable Delivery Date be free and clear of all Security Interests other than the Novated Lease and Permitted Liens.
No party may assign or transfer any of its rights or obligations under this Agreement (and any purported assignment or transfer in breach of this Clause 6.4.2 shall be void ab initio), except the New Lessor may, without the consent of the other parties, assign or transfer its rights and obligations under this Agreement in connection with an assignment or transfer of its rights or obligations under the Novated Lease which is permitted in accordance with the terms thereof.
The provisions of this Agreement shall not be varied otherwise than by an instrument in writing executed by or on behalf of all the parties, provided that the New Lessor and the Lessee shall be entitled to amend, modify or vary the terms of the Novated Lease after the Effective Time without reference to the Existing Lessor.
The Novated Lease, the Replacement Security Deposit Agreement and this Agreement together constitute the sole and entire agreement between Lessee and the New Lessor in relation to the leasing of the Aircraft and supersede all previous agreements in relation to that leasing.
