Operational Assets definition

Operational Assets means all Assets that are not Non-Operational Assets; provided, however that if any of the Assets identified in Exhibit A-3 are used by EQT Gathering in the operation of the Gathering Assets on or prior to the Closing Date of the Asset Contribution, such assets shall be deemed Operational Assets under this Agreement.

Operational Assets means each item contained in Schedule 2.11(c) (other than the Headquarters Building located in Salt Lake City identified on Schedule 2.11(c) and the lease related thereto), and any other property, rights, and equipment (including without limitation, furniture, computer hardware, servers, routers and PBX equipment) owned by, leased or licensed to the Sellers or the Sellers' affiliates which can be assigned prior to or concurrent with the Closing and which is (1) used by the Sellers, the Sellers' affiliates, the Company or its Subsidiaries, to conduct the business of the Company or the Subsidiaries, as currently conducted, or (2) intended to be used in connection with the Expansion Projects, as well as any Sellers or Sellers' affiliate agreements for the maintenance, support or service of any of the foregoing listed in (1) or (2).
Operational Assets means, as to any Person during the ordinary course of its business, any asset account on a balance sheet representing paper currency and coins, negotiable money orders and checks, bank balances, instruments or investments of such high liquidity and safety that they are virtually as good as cash, invoices, trade receivables and inventories.
