Option Conditions definition

Option Conditions has the meaning set forth in Section 3.3 below.
Option Conditions means the conditions set out in Clause 5.3;
Option Conditions has the meaning given to it in Paragraph 1.3 of Part B (Call Option Requirements) of Schedule 3 (Depots);

Examples of Option Conditions in a sentence

  • Landlord may, at Landlord’s option, exercised in Landlord’s sole and absolute discretion, waive any of the Option Conditions in which case the option, if otherwise properly exercised by Tenant, shall remain in full force and effect.

  • Upon the proper exercise of such option to extend, and provided that Tenant satisfies all of the Option Conditions (except those, if any, which are waived by Landlord), the Lease Term, as it applies to the Premises, shall be extended for a period of five (5) years.

More Definitions of Option Conditions

Option Conditions means payment of the Option Consideration in accordance with section 2.2.

The Pricing Date is 19 June 2014; “Pricing Statement” means the public statement giving details of the results of the Global Offer including the Offer Price and the Offer Size and which statement is to be deposited with the AFM and to be published on the Pricing Date following execution of this Agreement in a press release on the Company’s website and on the website of the Exchanges; “Prospectus” means the prospectus prepared by the Company in connection with the Global Offer and Admission and approved by the AFM on 6 June 2014; “Prospectus Directive” means the European Union (EU) Directive 2003/71/EC and any amendments thereto, including Directive 2010/73/EU, to the extent implemented in the relevant Member State of the European Union; “Prospectus Regulation” means the European Commission Regulation (EC) No 809/2004 of 29 April 2004, as amended;
Option Conditions means that (i) the Acquisition Agreement shall have been terminated by Sterigenics pursuant to Section 12.1(g) thereof and written notice of such termination shall have been given by Sterigenics or RTI, as the case may be, to the other party in accordance with the Acquisition Agreement, and (ii) RTI shall have entered into a legally binding and enforceable agreement relating to an "Acquisition Proposal" (as defined in Section 6.1(a) of the Acquisition Agreement). RTI shall notify Sterigenics in writing immediately upon execution of such agreement.
Option Conditions means all of the following conditions to the effectiveness of Tenant’s exercise of the Option to Extend: (i) there is not an Event of Default by Tenant under this Lease, (ii) Tenant has not assigned this Lease to any party other than an Affiliate, (iii)Tenant has not sublet more than seventy-five percent (75%) of the rentable square footage of the Premises to any party other than an Affiliate, and (iv) Tenant or an Affiliate is then in physical occupancy of at least twenty-five percent (25%) of the then-existing rentable square footage of the Premises
Option Conditions means: (i) as of the date of delivery of the Exercise Notice or as of the commencement of the Option Term, no Event of Default by Sublessee shall have occurred and be continuing; (ii) as of the date of delivery of the Exercise Notice or as of the commencement of the Option Term, no Event of Default shall have occurred more than twice within the Term, and (iii) as of the date of delivery of the Exercise Notice or as of the commencement of the Option Term, the Sublease remains in full force and effect and Sublessee has not assigned the Sublease or sublet the Premises at the time the Option to Extend is exercised and as of the commencement of the Option Term. The Option Conditions are for Sublessor’s sole benefit and may be waived by Sublessor.
