Output Agreement means an agreement pursuant to which a Major Studio licenses motion pictures to STE for Pay Television exhibition that (i) is applicable or, after giving effect to any post-Amendment Date amendment contemplated by Section 2(b)(v)(A) above, becomes applicable (or that, in either case, upon the exercise of one or more options may be applicable) to substantially all motion pictures which have an Initial Theatrical Release during any portion of the Term and (ii) is for a period of more than one year.
