Outstanding Shares Number means the total number of fully-diluted shares of Golden State Common Stock as of the Closing Date (excluding shares of Golden State Common Stock issuable upon exercise of LTWs or upon exercise of the option granted to Parent Holdings under the Option Agreement), with all Golden State Options which have been surrendered for a cash payment after the date of this Agreement pursuant to Section 6.5 treated as if they had remained outstanding, and computed on the "treasury stock method" of calculating earnings per share under Statement of Financial Accounting Standards No. 128 as in effect as of the date hereof, in all cases using the Average Daily Price as the "market price" of Golden State Common Stock.
