Parent Technology definition

Parent Technology means any and all Technology, including any know-how or knowledge of any employees of the Parent Business, used in or held for use in the operation of the Parent Business.
Parent Technology means all Technology, other than SpinCo Technology, owned or licensed by either Party or any member of its Group as of immediately prior to the Effective Time, and shall include the Technology set forth on Schedule 1.3.
Parent Technology means all Technology owned or purported to be owned, in whole or in part, by Parent or any of its Subsidiaries, or Technology licensed to Parent or any of its Subsidiaries that is material to the conduct of the business of Parent or any of its Subsidiaries as currently conducted.

Examples of Parent Technology in a sentence

  • Parent owns or has the right to use all components of the Parent Technology Systems that are reasonably necessary to the normal operations of the business of Parent as currently conducted by it.

  • Parent has good title to all Parent Technology Systems owned by it.

  • There has not been any material malfunction with respect to any of the Parent Technology Systems since December 31, 1998 that has not been remedied or replaced in all material respects, in each case without material disruption to the businesses of Parent and the Parent Subsidiaries.

  • If Folgers or any of its Affiliates becomes aware of any infringement or misappropriation by a Third Party of any Parent IP and/or Parent Technology Assets, Folgers will promptly notify Parent in writing and will provide Parent with all information supporting or tending to support such belief.

  • In connection with any such termination, the terminating Party will provide written notice to the breaching Party specifying the particular Parent IP and/or Parent Technology Asset(s) at issue and the nature of default or breach.


More Definitions of Parent Technology

Parent Technology means all Technology, other than SpinCo Technology, owned or licensed by either Party or any member of its Group as of immediately prior to the Effective Time, and shall include the Technology set forth on Schedule 1.2.
Parent Technology means all computer software programs, including all Software, semiconductor IP cores (including Verilog files, netlists, chip layouts and floorplans, GDSII files, and mask works), and all related documentation and databases reflecting the foregoing and all other tangible embodiments of Intellectual Property Rights in Parent Products.
Parent Technology means all trade secrets, confidential information, inventions, know-how, formulae, processes, procedures, research records, records of inventions, test information, market surveys and marketing know-how of Parent and the Parent Subsidiaries.
Parent Technology means all Technology owned by either of Parent or Buyer.
Parent Technology means all Technology used in connection with the Parent Product or in research and development activities of Parent and any Parent Subsidiary and all Intellectual Property in any and all such Technology that is owned by or exclusively licensed to Parent or any Parent Subsidiary.
Parent Technology has the meaning set forth in Section 5.1(z).
Parent Technology has the meaning ascribed thereto in Section 4.1(t).
