Participation Documents definition

Participation Documents means the Participation Agreement and the Participation Certificate.
Participation Documents as defined in Section 10.14 hereof.
Participation Documents has the meaning given in Recital (B).

Examples of Participation Documents in a sentence

  • Notwithstanding the foregoing, if a change in any Participation Documents results in a redistribution of such Participation Documents, then Provident shall reimburse HPS for the total postage and other direct costs associated with such redistribution, except to the extent that the change is required as a result of an error that is solely the responsibility of HPS.

  • HPS shall arrange for the printing of such Participation Documents, and HPS shall be responsible for the cost of such printing.

  • HPS shall promptly distribute the Participation Documents in accordance with this Part 4 at no cost to Provident.

  • To the extent reasonably required by Provident, HPS shall arrange for the printing of all or part of the Participation Documents.

  • HPS shall distribute and pay the cost of the distribution of the Participation Documents to Agents and/or Enrollees as reasonably required by Provident, in accordance with a schedule to be mutually agreed upon by the Parties.

  • In the event that Provident requires such printing service, then Provident shall deliver to HPS a camera-ready copy of the prototype of such Participation Documents, and a copy stored on a 3 1/2" standard computer diskette in an American standard code for information interchange, at least twenty-five (25) Business Days before the first date on which HPS is required to distribute such Participation Documents pursuant to Section 4.1 above.

  • In the event that Provident does not require HPS to arrange for printing any Participation Documents, then Provident shall make deliveries to HPS, on a schedule to be mutually agreed upon by the Parties, of sufficient Participation Documents to allow HPS to maintain a three-month supply of such Documents.

  • This guarantee and the Participation Documents constitute the entire agreement between the Creditors and the Guarantor with respect to the subject matter hereof and cancels and supersedes any prior understandings and agreements between them with respect thereto.

  • This Agreement, together with the other Cash Participation Documents and the Transaction Agreement, embody the entire agreement and understanding between the parties hereto relating to the subject matter hereof and thereof and supercedes all prior agreements and understandings to the extent that it relates to such subject matter, and it is agreed that there are no terms, understandings, representations, or warranties, express or implied, other than those set forth herein and therein.

  • Seller has not received written notice of any outstanding liabilities, obligations, losses, damages, penalties, actions, judgments, suits, costs, expenses or disbursements of any kind for which the holder of such Mezzanine Participation is or may become obligated under the Mezzanine Participation Documents.


More Definitions of Participation Documents

Participation Documents means each Servicing Agreement, the Master Participation Agreement, the Pass-Through Trust Agreement, each Underlying Trust Agreement, the Legal Title Trust Agreement, and any other agreement entered into by Seller or an Affiliate of Seller in connection therewith.
Participation Documents means the Master Participation Agreement, the Participation Schedule and each agreement executed in connection therewith (if applicable).
Participation Documents means the documents required to be submitted in order for the Interested Parties to participate in the Tender Process, as those are set in Section III below;
Participation Documents means this Agreement, the Participation Certificates, the Parent Guaranty, and all other agreements, instruments, documents and other written matter whether heretofore, now, or hereafter executed by or on behalf of Lender or Parent or delivered to Participant, with respect to this Agreement.

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Acquisition Documents means the Acquisition Agreement, all other agreements to be entered into between the Target or its Affiliates and Holdings or its Affiliates in connection with the Acquisition and all schedules, exhibits and annexes to each of the foregoing and all side letters, instruments and agreements affecting the terms of the foregoing or entered into in connection therewith.

  • Permitted Securitization Documents means all documents and agreements evidencing, relating to or otherwise governing a Permitted Securitization Financing.

  • Application Documents means collectively: (i) the grant application submitted by Grantee, including all exhibits, schedules, appendices and attachments thereto; (ii) all documents, correspondence and other written materials submitted with respect to the grant application; and (iii) all amendments, modifications or supplements to any of the foregoing approved in writing by City.

  • Solicitation Documents means the bid solicitation documents or any other documents for solicitation of offers proposals or quotations;

  • Organization Documents means, (a) with respect to any corporation, the certificate or articles of incorporation and the bylaws (or equivalent or comparable constitutive documents with respect to any non-U.S. jurisdiction); (b) with respect to any limited liability company, the certificate or articles of formation or organization and operating agreement; and (c) with respect to any partnership, joint venture, trust or other form of business entity, the partnership, joint venture or other applicable agreement of formation or organization and any agreement, instrument, filing or notice with respect thereto filed in connection with its formation or organization with the applicable Governmental Authority in the jurisdiction of its formation or organization and, if applicable, any certificate or articles of formation or organization of such entity.

  • L/C Related Documents has the meaning specified in Section 2.06(b)(i).

  • Related Documents mean all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, security deeds, collateral mortgages, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Loan.

  • Solicitation Document means the Request for Quotes, Invitation to Bid, Request for Proposals, or any other written document issued by OSU that outlines the required specifications necessary to submit a responsive quote, bid, proposal, or any other response;

  • Verification Documents means, with respect to any Note Owner, a certification from such Note Owner certifying that such Person is in fact, a Note Owner, as well as one additional piece of documentation reasonably satisfactory to the recipient, such as a trade confirmation, account statement, letter from a broker or dealer or other similar document. The foregoing definitions shall be equally applicable to both the singular and plural forms of the defined terms. Unless otherwise inconsistent with the terms of this Agreement, all accounting terms used herein shall be interpreted, and all accounting determinations hereunder shall be made, in accordance with GAAP. Amounts to be calculated hereunder shall be continuously recalculated at the time any information relevant to such calculation changes.

  • Noteholder Documents means (a) the Indenture, the Notes and the Noteholder Collateral Documents and (b) any other related document or instrument executed and delivered pursuant to any Noteholder Document described in clause (a) above evidencing or governing any Obligations thereunder.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Bid Document - shall mean the document submitted by the bidder, pursuant to understanding and agreeing with the terms and conditions set out in this Tender Document.

  • Construction Documents means the plans, specifications, approved change orders, revisions, addenda and other information approved by the City, which set forth in detail the Work to be performed for a construction Project.
