Patriot Employee definition

Patriot Employee means each Person who, on the Distribution Date (a) is actively employed in the Transportation Business who is listed on the payroll records of any member of the Transportation Group, (b) is on short-term disability leave, authorized leave of absence, military service or lay-off with recall rights and who was last actively employed in the Transportation Business by any member of the Transportation Group, (c) is an inactive or former employee and who was last actively employed in the Transportation Business by any member of the Transportation Group, including any former employee who has been on long-term disability leave or unauthorized leave of absence or who has terminated his or her employment, retired or died on or before the Distribution Date, and, in each case, their respective beneficiaries and dependents or (d) is an individual set forth on Schedule 1.1(a)-1. Patriot Employees shall not include the individuals set forth on Schedule 1.1(a)-2.
Patriot Employee means any individual who is employed by or will be employed by Patriot or any member of the Patriot Group, including active employees and employees on vacation and approved leave of absence (including maternity, paternity, family, sick leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, short- or long-term disability leave, leave under the Family Medical Leave Act and other approved leave).

  • Notwithstanding the foregoing, Patriot (or its affiliate) shall not be required to credit any Patriot Employee or Subsequent Patriot Employee with any vacation or time-off accrual to the extent that a benefit attributable to such accrual is retained and provided by the PEC Group.

  • Determining the number of years of service required for a “Retirement” for purposes of the vesting and exercise period of NQSOs held by any Patriot Employee and any Patriot Senior Management Employee under the provisions of any NQSO agreement between such Employee and the Corporation.

  • For purposes of the accelerated vesting provisions in the NQSO agreements held by a Patriot Employee or a Patriot Senior Management Employee, the terms “Change of Control” and “Recapitalization Event” (if applicable) shall continue to have the meanings set forth in the Plan and shall apply only to the Corporation.

  • Replacement employee is an employee specifically engaged to replace an employee proceeding on parental leave.

  • SpinCo Employee means any individual who, immediately following the Distribution Date, will be employed by Spinco or any member of the Spinco Group in a capacity considered by Spinco to be common law employment, including active employees and employees on vacation and approved leaves of absence (including maternity, paternity, family, sick, short-term or long-term disability leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, and leave under the Family Medical Leave Act and other approved leaves).

  • Key Employee means any executive-level employee (including, division director and vice president-level positions) as well as any employee who, either alone or in concert with others, develops, invents, programs, or designs any Company Intellectual Property (as defined in the Purchase Agreement).

  • Inactive Employee means an employee who is not actively at work due to approved leave of absence, short-term disability leave or military leave.

  • Qualifying Employee means any employee of Managing Agent or Parent or any of their respective subsidiaries who is and has been an employee of Managing Agent or Parent or any of their respective subsidiaries for at least thirty-six (36) months.
