Maximum Percentage Fees cannot be exceeded throughout the Term in accordance with paragraph 4 and 5.
As additional consideration for the rights granted hereunder by Port, Permittee hereby agrees to pay to Port the Percentage Fees specified in Paragraph E.2 below and in accordance with the provisions of Section 13 of Attachment “A” to this Permit.

For the privilege of operating a non-exclusive valet parking concession at the Airport during the Term, Operator agrees to pay to Authority “Privilege Fees" for each Contract Year the greater of (i) the Minimum Annual Guarantee or (ii) the Percentage Fees applied to Operator’s Gross Revenues for said Contract Year all as hereinafter described, plus in either case applicable sales tax.
If, at the end of any year during the Term, the total amount of monthly installments of MAG and Percentage Fees paid based on Gross Revenues for such year exceeds the total amount of annual MAG and Percentage Fee required to be paid for such year, as indicated in Concessionaire’s Annual Statement, Concessionaire shall receive a credit equivalent to such excess, which shall be credited by the City to the next monthly payment(s) of Percentage Fee and/or MAG due from Concessionaire to the City hereunder.
Any additional Percentage Fees due shall forthwith be paid by the Concessionaire to the City with interest thereon at eighteen percent (18%) per annum from the date such item was due and payable until paid, or the maximum allowable rate under law.
The Port shall, within sixty (60) days following Concessionaire’s delivery of the Annual Report, reconcile the Minimum Annual Guarantee and Percentage Fees paid by Concessionaire for the previous Agreement Year.
In the event that for any month, the Percentage Fees applied to the Monthly Gross Revenues of Operator is greater than (1/12) of the Minimum Annual Guarantee for the applicable Contract Year, Operator shall pay the difference to Authority with the report of Gross Revenues.
If, at the end of any year during the Term, the total amount of monthly installments of MAG and Percentage Fees paid for such year is less than the total amount of annual MAG and Percentage Fees required to be paid for such year, Concessionaire shall pay the amount of such deficiency on or before the time Concessionaire provides Concessionaire’s Annual Audit Statement, which shall be certified and signed by an authorized official of Concessionaire.
