Usage Fee definition

Usage Fee means the subscription fees to be paid by the Agency for ongoing access to Services.

Usage Fee has the meaning set forth in the Fee Letter.

Examples of Usage Fee in a sentence

• For Wing products, the Agency will pay Flock the first Usage Fee and the Implementation Fee (as described on the Order Form attached hereto, together the “Initial Fees”) as set forth on the Order Form on or be- fore the 30th day following the Effective Date of this Agreement.

• Aircraft Usage Fee Aircraft Usage Fee: Claimable Hours x Hourly Rate; where Claimable Hour: Each hour (measured from engine(s) on to engine(s) off) that an Aircraft is being used to perform SAR Services (including flights undertaken to comply with a request from AMSA under clause 2.3) or other tasks agreed by AMSA.

• Agency shall not be required to replace subsequently lost, damaged or stolen Flock Hardware, however, Agency understands and agrees that functionality, including Footage, will be materially affected due to such subsequently lost, damaged or stolen Flock Hardware and that Flock will have no liability to Agency regarding such affected functionality nor shall the Usage Fee or Implementation Fees owed be impacted.

• For Falcon products during the Initial Term, Agency will pay Flock fifty percent (50%) of the first Usage Fee, the Implementation Fee and any fee for Hardware (as described on the Order Form attached hereto, together the “Initial Fees”) as set forth on the Order Form on or before the 30th day following receipt of initial in- voice after Effective Date.

• If a Cancellation Notice is not received by the Cancellation Deadline, Licensee shall pay the full amount of the Usage Fee set forth in the Facility Use Document.

More Definitions of Usage Fee

Usage Fee shall have the meaning assigned to such term in Section 2.07(b).

Usage Fee means, with respect to all Advances, the product of (i) the Usage Fee Rate for the applicable Lender, times (ii) the daily average outstanding principal balance of all Advances during the related Interest Accrual Period, times (iii) the actual number of days in such Interest Accrual Period, divided by 360.
