• Epizyme and/or Eisai and their Affiliates have and shall retain ownership of all rights, title, and interest in and to the Pharmaceutical Partners Product and will have the right to conduct Independent Development involving the use of the Pharmaceutical Partners Product or any other Epizyme product and/or Eisai product for any purpose (whether alone or in combination with any other product or service or inside or outside of the Pharmaceutical Field) and in collaboration with any Third Party.

• In no event shall the license grants in Section 9.1 through Section 9.6 to the extent applicable to RMS provide RMS or any of its sublicensees with the right to research, develop, obtain Regulatory Approval for, make, have made, use, sell, offer for sale, import, export or commercialize any products for use outside the Diagnostic Field, including without limitation any product for use in the Pharmaceutical Field in connection with the RMS Product.

• The Parties also agree that prior to imitating any interferences relating to Patents within the Pharmaceutical Field, the matter will be reviewed in the first instance by the patent committee who shall attempt to resolve any matters in good faith.

• RMS hereby grants Clovis Oncology and its Affiliates a worldwide, exclusive, transferable, sublicenseable, royalty free license under RMS’ interest in the Project Results for any and all purposes in the Pharmaceutical Field.

• Biosource hereby grants to TDCC and TDCC accepts exclusive, perpetual, royalty-bearing worldwide rights, with the right to sublicense any entity, in any fields of use of Alliance Genes, other than those in the Pharmaceutical Field, the Nicotiana Field, the TDCC Field and in Biosource Crops, to develop, have developed, use, have used, make, have made, distribute for sale, sell, offer to sell, practice, import and export products (lower case) and services.

• With respect to any rights provided for in this paragraph, the Licensed Parties shall abide by any conditions for such use applicable to Danisco activities in the Pharmaceutical Field and negotiated in good faith.

More Definitions of Pharmaceutical Field

Pharmaceutical Field means the research, development, importation, use, registration, manufacture, distribution or sale of Pharmaceutical Products;

Pharmaceutical Field means the development and use of a C1 Strain as a Pharmaceutical Platform for the research, discovery, development, manufacture or commercialization of any Pharmaceutical Product.

Pharmaceutical Field means all uses and all biological materials and chemical compounds active for the treatment, mitigation, diagnosis or prevention of disease states and conditions in humans and animals; provided, however, that the Pharmaceutical Field shall include active material and compounds for animal uses only which are: (i) Products that are subject to registration under FDA or USDA regulations in effect as of the Effective Date for the country in which a particular Product is offered for sale, as interpreted by administrative and judicial decisions, whenever made, and (ii) antimicrobial peptide products; and provided, further, that the Pharmaceutical Field shall not include Nutraceuticals nor animal feed Products (other than an animal feed Product which itself is used as an oral vaccine) that is not subject to registration under FDA or USDA regulations in effect as of the Effective Date for the country in which a particular Product is offered for sale, as interpreted by administrative and judicial decisions, whenever made.

Pharmaceutical Field shall have the meaning set forth in Section 7.10.

Pharmaceutical Field means research, development, manufacture, and commercialization of products directed to the prevention, maintenance, treatment, diagnosis, prediction, detection, evaluation or characterization of any disease, disorder, medical state or condition in animals (including humans).
