The term (the “Term”) of this Agreement shall commence on the Effective Date and shall end on the last day of the calendar month in which the 10th anniversary of the earlier of (a) the date that Phase I is completed, and (b) the Agreed Phase I Completion Date occurs (the “Initial Term”), subject to Section 2.3.
The parties shall enter into the Phase II Funding Agreement, to memorialize the State’s contribution of the Phase II State Funds for the Project, and their other obligations and understandings regarding Phase II, only if the County meets the Phase I Benchmarks on or before the Phase I Completion Date (as it may be extended by the State, in its reasonable discretion).
The Design-Builder may request and/or the Owner, without invalidating this Agreement, may order changes in the Work within the general scope of the Contract Documents consisting of additions, deletions or other revisions to the GMP or the estimated cost of the work, compensation for Contract Services, the Design-Builder's Fee and/or the Phase I Completion Date being adjusted accordingly.
The Phase I Completion Date shall be confirmed by the County upon the TAC's Project architect delivering certificates to the Parks Director stating that construction on Phase I has been substantially completed, and the TAC completing a final punch list of tasks as required by the County.
Upon completion of the improvements to the Additional Parking Area and issuance by the City of a Certificate of Completion for the second part of the Phase I Development, the Phase I Development shall be complete in its entirety and the Phase I Completion Date shall have occurred, as required by the Lease and the DDA.
