Pipelines and Facilities definition

Pipelines and Facilities means (a) any pipelines of the Company or any Company Subsidiary and (b) all material above ground facilities of the Company or any of the Company Subsidiaries.
Pipelines and Facilities means (a) the natural gas and natural gas liquids gathering and transmission pipelines owned by the Company and located in Reeves, Culberson, and Loving counties in Texas and Eddy and Lea counties in New Mexico, and (b) all material above ground facilities owned by the Company or the Company Subsidiaries and used in their businesses, including material processing plants, treating plants and compressor stations, but in each case excluding the Low Pressure System.
Pipelines and Facilities means (a) any pipelines of the Acquired Company and (b) all material above-ground facilities of the Acquired Company.

  • To the Knowledge of the Company, the Pipelines and Facilities are in such working order and state of repair (subject to ordinary wear and tear, maintenance and repairs made in the Ordinary Course of Business, and provided that various expansion projects will be in progress as of the Closing), as to be adequate taken as a whole, in all material respects, for normal operations consistent with the Company’s and Company Subsidiaries’ current practices and operations.

  • The Company and the Company Subsidiaries, as applicable, have good and valid title to all of the material Pipelines and Facilities free and clear of all Liens other than Permitted Liens.

  • The Target Companies, as applicable, have good and valid title to all Personal Property, Pipelines and Facilities (to the extent the Facilities constitute personal property) free and clear of all Liens other than Permitted Liens.

  • Project Company shall construct the Facilities in accordance with the approved work plan, all Law (as defined below), and Pipeline Owner Guidelines for Development Around NuStar Pipelines and Facilities stated on Exhibit “B”, attached hereto and incorporated by reference in this Agreement.

  • There is no pending or, to Seller’s Knowledge, any threatened condemnation, eminent domain or administrative actions affecting any Pipelines and Facilities, any Company Leased Real Property, Company Owned Real Property or any portion thereof, except as would not have and would not reasonably be expected to have a Material Adverse Effect.

  • In this regard, CPSC shall furnish to POC access at all reasonable times to all pipe and other materials to be used in the construction of the Pipelines and Facilities and to the work of construction of the Pipelines and Facilities whenever work is in progress, in order that POC may examine and inspect the pipe and other materials and observe the work and may assure itself that the terms of the Design and Specifications are being met.

  • CPSC covenants that CPSC will acquire and maintain ------------------ all permits required by CPSC to own and operate the Pipelines and Facilities.

  • POC shall have the right to conduct such inspections of the pipe and other materials to be used in the construction of the Pipelines and Facilities and of the work at its sole cost, risk and expense.


More Definitions of Pipelines and Facilities

Pipelines and Facilities means those pipelines and cables to be constructed or installed in or on the Easement Lands for which such easement has been granted in accordance with this Agreement. The Transferor grants to the Transferee the right of ingress and egress to and from the Easement Lands by the Transferee’s equipment, employees, contractors or agents, at such times and over such route or routes as may be reasonably designated from time to time by the Transferor, provided however that in exercising such right of ingress and egress the Transferee covenants to abide by the usual rules and regulations of the Transferor as applied to the lands in which the Easement Lands are located. The Transferee covenants that it shall, at its own cost and expenses, construct, install, inspect, replace, alter, maintain, protect, remove and repair the pipelines and facilities in a good and workmanlike manner. The Transferee further covenants that if it should, at any time, discontinue use of any of the pipelines and facilities, it shall forthwith, at its own cost and expenses, remove same and restore the Easement Lands to their previous condition and the easement and rights granted shall thereupon be terminated. In the event the Transferee fails to so remove the pipeline and facilities and restore the Easement Lands to their previous condition within a reasonable time, the Transferor may do so at the cost and expense of the Transferee. The Transferee covenants that it, its agents and contractors shall maintain, at all times during installation or repair of the pipelines and facilities the following comprehensive liability insurance (or such greater amount as the Transferor may reasonably require from time to time) to protect the Transferor and Transferee against loss or damage:
