Plan Warrants definition

Plan Warrants refers to all of the Series of Plan Warrants as a group.
Plan Warrants means warrants exercisable not later than the fourth (4th) anniversary of the Consummation Date entitling the holder thereof to acquire one share of Newco Common Stock, subject to customary anti-dilution protections, based upon an exercise price of seventeen dollars and twenty-five cents ($17.25) per share and otherwise upon the terms and conditions contained in the Plan Warrant Agreement.
Plan Warrants means warrants to purchase common equity of the U.S. Borrower issued in connection with, and pursuant to, the Plan of Reorganization.

  • Each Series of Plan Warrants has an initial Exercise Price as set forth below.

More Definitions of Plan Warrants

Plan Warrants means the Series A Warrants and the Series B Warrants issued pursuant to the Plan.

The Plan Warrants shall include such anti-dilution provisions which are standard for common stock purchase warrants of this type, with the anti-dilution to be terminated upon the Reorganized Debtor’s consummating the listing of its common stock on the NASDAQ Capital Markets or another senior exchange.
Plan Warrants means, collectively, the Class 5 Plan Warrants, the Class 6 Plan Warrants, the Class 9 Plan Warrants, and the Class 13 Plan Warrants.
Plan Warrants means all Warrants other than the Cash-Out Warrants. “Private Placement Legend” has the meaning set forth in Section 2.04(c).
