Examples of Pool Shares in a sentence

  • The percentage of Award Pool Shares (the “Award Pool Percentage”) and the maximum number of Award Pool Shares (the “Participant Maximum”) available to be awarded to each Participant for each Award, shall be as set forth in the following table.

  • In the event that a Participant's Pool Shares (or cash or other property) are not to be issued or delivered because of a failure to satisfy this Section 10, the amount thereof shall be proportionally redistributed to the Participants qualifying for such issuance.

  • The Custom Pool Shares have been duly authorized and are validly issued and free from all taxes, liens and charges with respect to the issue thereof, and the Custom Pool Shares are fully paid and non-assessable with the holder being entitled to all rights accorded to a holder of Custom Pool’s common stock.

  • The Committee shall certify the number of Award Pool Shares available for each Participant for each Award (the “Certified Share Number”) within 75 days after the end of the EBITDA Performance Period, which shall be calculated by (a) multiplying (i) the Award Pool Percentage for such Participant for such Award by (ii) the aggregate number of Award Pool Shares and (b) if applicable, reducing the number calculated pursuant to subsection (a) to the Participant Maximum for such Award.

  • Cxxxxxx desires to exchange 13,668,900 shares of common stock of ASTRO for all of the issued and outstanding shares of common stock of Custom Pool held by ASTRO, and ASTRO has agreed to offer the Custom Pool Shares (as defined below) in connection with such exchange, upon the terms and conditions set forth in this Agreement.

  • ASTRO also understands that the Custom Pool Shares are being offered and issued pursuant to an exemption from the registration requirements of the Securities Act, under Section 4(2) and/or Regulation D of the Securities Act.

  • The Custom Pool Shares constitute all of the issued and outstanding shares of common stock of Custom Pool.

Related to Pool Shares

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Purchased Units means, with respect to a particular Purchaser, the number of Common Units equal to the aggregate Purchase Price set forth opposite such Purchaser’s name under the column titled “Purchase Price” set forth on Schedule A hereto divided by the Common Unit Price.

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Sale Shares has the meaning ascribed to it at Recital (A).

  • Class A Shares means the Class A ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class A Shares, and having the rights provided for in these Articles.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Sold Shares shall have the meaning specified in Section 6.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Purchased Securities has the meaning assigned in the Terms;

  • Buyer Stock means the common stock, par value $0.001 per share, of Buyer.

  • Amalco Shares means common shares in the capital of Amalco;

  • Company Shares has the meaning set forth in the Recitals.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Newco Shares means the common shares in the capital of Newco;

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Issuer Shares means any classes of share capital or other equity securities issued by the Issuer (including but not limited to actions de préférence (preference shares));
