Preemptive Right Share definition

Preemptive Right Share means a ratio of (a) the number of Membership Interests held by such Member with Preemptive Rights, to (b) the total number of Membership Interests then outstanding immediately prior to the issuance of New Securities giving rise to the Preemptive Rights.
Preemptive Right Share means, with respect to any Eligible Member as of any date of determination, a fraction (expressed as a percentage) the numerator of which is the number of Units (whether Class A Units or Incentive Units) held of record by such Eligible Member at such time and the denominator of which is the sum of the number of Class A Units held of record by all Eligible Members at such time.

  • The Company hereby grants to each Member the right to purchase such Member’s Preemptive Right Share of all (or any part) of any New Securities that the Company may from time to time issue after the date of this Agreement (the “Preemptive Right”).

  • If any Member fails to so respond in writing within the Preemptive Right Notice Period, then such Member shall forfeit the right hereunder to purchase its Preemptive Right Share of such New Securities.

  • VWAP Purchase Share Percentage means, with respect to any particular VWAP Purchase Notice pursuant to Section 1(c) hereof, the percentage set forth in the VWAP Purchase Notice which the Buyer will be required to buy as a specified percentage of the aggregate shares traded on the Principal Market during normal trading hours up to the VWAP Purchase Share Volume Maximum on the VWAP Purchase Date subject to Section 1(c) hereof but in no event shall this percentage exceed thirty percent (30%) of such VWAP Purchase Date’s share trading volume of the Common Stock on the Principal Market during normal trading hours.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • New Securities means, collectively, equity securities of the Company, whether or not currently authorized, as well as rights, options, or warrants to purchase such equity securities, or securities of any type whatsoever that are, or may become, convertible or exchangeable into or exercisable for such equity securities.

  • REIT Share means a share of common stock, par value $.01 per share, of the General Partner.

  • Conversion Share means any share of Common Stock issued or issuable upon conversion of any Note.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • REIT Shares means shares of common stock, $0.01 par value per share, of the Company.
