Profound Changes in Circumstances means such changes in the economic conditions of the [INSERT PROJECT SPECIFIC SECTOR] industry worldwide or in Lao PDR, or such changes in the economic, political or social circumstances existing in Lao PDR specifically or elsewhere in the world as to result in such a material and fundamental alteration of the conditions, assumptions and bases relied upon by the Parties at the time during which they entered into this Agreement (or at the time of any subsequent review pursuant to this Section) that the overall balance of equities and benefits reasonably anticipated by both Parties will no longer, as a practical matter, be achievable.12

Related to Profound Changes in Circumstances

  • Unforeseen Circumstances under the Federal Permit means changes in circumstances affecting a Covered Species or geographic area covered by the HCP/NCCP that could not reasonably have been anticipated by the Plan developers and USFWS at the time of the Plan’s negotiation and development, and that result in a substantial and adverse change in the status of a Covered Species. “Unforeseen Circumstances” under the State Permit means changes affecting one or more species, habitat, natural community, or the geographic area covered by the Plan that could not reasonably have been anticipated at the time of Plan development, and that result in a substantial adverse change in the status of one or more Covered Species.

  • Change in Circumstance means any significant change to you, including but not limited to:

  • Proposed Change has the meaning assigned to such term in Section 9.02(c).

  • Material Change in Content means the occurrence since the Launch Date of a material change in the content, composition or constitution of the Futures Contract or the Commodity.

  • Material Change in Formula means the occurrence since the Launch Date of a material change in the formula for, or the method of, calculating the Reference Price.

  • Service Change has the meaning set forth in Section 2(B) of the Agreement.

  • Proposed Change Order (PCO means a document that informs Contractor of a proposed change in the Work and appropriately describes or otherwise documents such change including Contractor’s response of pricing for the proposed change.
