Project Research means research and research related activities that are: (a) not Core Research, (b) conducted by a Member, and (c) financially supported solely by funds provided by one or more Industry Members (excluding Membership Fees) and initiated via a separate sponsored research agreement.

Project Research means those research and development activities conducted pursuant to the Research Program with respect to Projects.

• Notwithstanding the foregoing, the Sponsor shall be permitted to state orally and in writing the fact that the Project Research is being conducted at Baylor under the direction of the Principal Investigator.

• The cost of the Directed Research and the Project Research to be funded by Syngenta shall be calculated based on the number of FTEs allocated to such work at the following rates for the 2003 calendar year: $[…***…] per annum for FTEs engaged in Project Research (the “Project Research Rate”); and $[…***…] per annum for FTEs engaged in Directed Research (the “Directed Research Rate”).

• Diversa shall cooperate with Syngenta in adapting the skill set of Diversa’s FTEs to facilitate reasonable flexibility in the funding of research and development activities (but not “pass-through” development activities which would not involve Diversa employees (i.e. buying in or subcontracting for development capabilities)) of Directed Research and Project Research.

• University shall have the right to publish the results of the work conducted by University under this Multi Project Research Agreement to the extent such results do not contain Confidential Information of Sponsor, provided Sponsor has the opportunity to review and comment on any proposed manuscripts describing said work thirty (30) days prior to their submission for publication.

More Definitions of Project Research

Project Research means research pertaining to AlloVir sponsored research as described more fully in Exhibit A (which is incorporated herein by reference and made part of this Agreement) or such modifications of Exhibit A as may be mutually agreed upon in writing by duly authorized representatives of Baylor and AlloVir.
