PSP Awards definition

PSP Awards means any award granted in 2016 under the Worldpay Group plc Performance Share Plan and which is subsisting, in accordance with its terms, immediately prior to the Effective Date;
PSP Awards means conditional share awards over RSA Shares granted to employees and former employees of the RSA Group under the PSP;
PSP Awards means the conditional awards granted under the PSP;

  • Notwithstanding the foregoing, if there is a Change in Control that meets the requirements of a change in control event under Section 409A, all outstanding PSP Awards will vest at 100% of the Initial PSU Grant target (or 100% of the PSP Target if the Change in Control occurs prior to the Initial PSU Grant) including dividends that would have accumulated since the initial PSU grant on the vested units, and shall be paid in shares of Common Stock at the time of such Change in Control.

  • No. If Court Sanction and the Effective Date occur, your PSP Awards will be automatically treated in the way described above, in accordance with the PSP rules.

  • The Company may, in its sole discretion, decide to deliver any documents related to current or future PSP Awards by electronic means or to request the Participant’s consent to participate in the 2012 Plan by electronic means.
