Public Indentures definition

Public Indentures means, collectively, (i) the Indenture dated as of February 9, 1995, the Indenture dated as of April 1, 1993 and the Indenture dated as of February 3, 1994, each between the Company and Chemical Bank (now Chase Manhattan Bank), as Trustee thereunder, (ii) the Exchange Indenture and (iii) any other indenture or other agreement under which the Company may issue Subordinated Indebtedness.
Public Indentures means the trust indentures which govern any long term bonds or notes issued by the Borrower or any Restricted Subsidiary from time to time including the trust indentures dated: (i) as of August 28, 2000 between the Borrower and CIBC Mellon Trust Company in respect of Cdn. $250,000,000 of 7.85% senior notes due August 30, 2010, (ii) as of September 21, 1995 between the Borrower (as successor to Novacor Chemicals Ltd.) and Bank One Trust Company, NA (as successor in interest to The First National Bank of Chicago), as trustee, in respect of U.S. $100,000,000 of 77/8% xxxxxxxxxx xxx 0000, (xxx) as of January 13, 2004 between the Borrower and U.S. Bank National Association, as trustee, in respect of U.S. $400,000,000 of 6 ½% Senior Notes due 2012, (iv) as of October 31, 2005 between the Borrower and U.S. Bank National Association, as trustee, in respect of U.S$400,000,000 of Senior Floating Rate Notes due 2013 and (v) as of October 16, 2009 between the Borrower and U.S. Bank National Association, as trustee, in respect of U.S.$350,000,000 of Senior Notes due 2016 and U.S.$350,000,000 of Senior Notes due 2019.
Public Indentures means, collectively the Existing Indentures and all other indentures, credit agreements, note purchase agreements or other similar contracts, agreements or instruments pursuant to which Company and/or its Subsidiaries incurs Indebtedness permitted by the terms of this Agreement.

Examples of Public Indentures in a sentence

  • Notwithstanding the foregoing provisions of this Section 6.2(a), the Borrower (but for certainty not any other Loan Party) may issue, incur, create, assume, permit to exist or guarantee Debt under the TD Credit Agreement which is secured by Liens permitted by the negative pledge in the Public Indentures.

  • No Loan used to provide purchase money financing for the construction, acquisition or improvement of any Telecommunications Asset will exceed 80% (or such greater percentage (not in excess of 100%) as may be permitted under the Public Indentures) of the total cost of the asset financed with such Loan, and the remainder of the total cost of each Telecommunications Asset so constructed, acquired or improved after the Closing Date shall be financed with other sources not prohibited by the Public Indentures.

  • The Borrower shall not (i) cancel all or any part of the availability under the TD Credit Agreement (except to the extent such availability is reduced by the negative pledge in the Public Indentures) or the TD Credit Agreements or (ii) shorten the maturity date(s) thereunder (except as a consequence of acceleration), in each case prior to the repayment and cancellation in full of the Credit Facility.

  • This Agreement and the other Loan Documents constitute Senior Credit Facilities and Principal Credit Facilities as such terms are defined in the Existing Public Indentures.

  • On the Trust Effective Date, the Company delivered to the Trustee true and complete copies of (i) the Public Indentures and all amendments thereto, (ii) each of the Credit Agreements, (iii) the Pledge Agreement and (iv) the other Secured Instruments, in each case as in effect on the Trust Effective Date.

  • The Company hereby designates and agrees that the Notes are and will be Designated Senior Debt (as defined in and for purposes of the Public Indentures).

Public Indentures means the trust indentures which govern any long term bonds or notes issued by any Loan Party from time to time including the trust indentures dated: (i) as of August 28, 2000 between the Borrower and CIBC Mellon Trust Company in respect of Cdn. $250,000,000 of 7.85% senior notes due August 30, 2010, (ii) as of September 21, 1995 between the Borrower (as successor to Novacor Chemicals Ltd.) and Bank One Trust Company, NA (as successor in interest to The First National Bank of Chicago), as trustee, in respect of U.S. $100,000,000 of 7 7/8% debentures due 2025, (iii) as of August 20, 1996 between the Borrower (as successor to NOVA Chemicals Ltd.) and Bank One Trust Company, NA (as successor in interest to The First National Bank of Chicago), as trustee, in respect of U.S. $125,000,000 of 7 1/4% debentures due 2028, (iv) as of January 14, 1999 between the Borrower and Bank One Trust Company, NA (as successor in interest to The First National Bank of Chicago), as trustee, in respect of U.S. $250,000,000 of medium term notes due 2009, (v) as of January 13, 2004 between the Borrower and U.S. Bank National Association, as trustee, in respect of U.S. $400,000,000 of 6 1 /2% Senior Notes due 2012, and (vi) as of October 31, 2005 between the Borrower and U.S. Bank National Association, as trustee, in respect of U.S$400,000,000 of Senior Floating Rate Notes due 2013.

  • Senior Note Indentures means, collectively, the Senior Note (2020) Indenture, the Senior Note (2021) Indenture, the Senior Note (2022) Indenture and the Senior Note (2023) Indenture.

  • Existing Indentures means (a) the Indenture with respect to the Target Company’s 1.5% Convertible Senior Notes due 2017, dated as of August 25, 2010, by and between the Target Company and The Bank of New York Mellon Trust Company, N.A. and (b) the Indenture with respect to the Target Company’s 0.5% Convertible Senior Notes due 2020, dated as of October 29, 2013, by and between the Target Company and The Bank of New York Mellon Trust Company, N.A. (each as amended, restated, supplemented or otherwise modified from time to time prior to the date hereof).

  • Secured Notes Indenture means the Indenture, dated as of May 29, 2013, among the Borrower, the subsidiary guarantors party thereto from time to time and Wilmington Trust, National Association, as trustee, governing the Secured Notes, as the same may be amended, supplemented, waived or otherwise modified from time to time.

  • Convertible Note Indenture means the Indenture dated as of February 21, 2014 between Emergent and the Convertible Note Trustee pursuant to which the Convertible Notes were issued.
