Purchaser Delays definition

Purchaser Delays means any delay by Purchaser in performing any contractual obligations or any other circumstances for which Purchaser is responsible, including, without limitation, delays to attend testing (if required), provide adequate delivery instructions, take delivery, arrange shipment or import licences, or be available for installation and/or training.

Examples of Purchaser Delays in a sentence

  • The Closing Date for the Ballroom Closing shall be extended as needed if a Substantial Completion Certificate for the Ballroom/Lobby/Support Areas has not been delivered by Seller to Purchaser prior to the scheduled Closing Date (provided that the Closing Date shall not be extended for Purchaser Delays), but if such extension causes the Closing Date to occur after July 31 of any calendar year, the Ballroom Closing shall be extended to January 2 of the succeeding year.

  • If substantial completion is delayed due to Purchaser Delays, the Declarant may treat the unit as substantially complete on the date it would have been substantially completed but for the Purchaser Delays.

  • Subject to Unanticipated Delays or Purchaser Delays, if Seller does not complete a Project prior to the applicable Deadline, Purchaser may by written notice to Seller and Escrowee take over completion of such Project.

  • The Company shall not be liable to the Purchaser under any circumstances whatsoever for any penalty, damage or loss resulting directly or indirectly from any Purchaser Delays.

  • Required Approvals shall have the meaning ascribed to such term in Section 3.1(e).

  • Purchaser Fundamental Representations means the representations and warranties of Purchaser set forth in Section 4.01, Section 4.02, Section 4.03 and Section 4.07.
