Other Delays. Seller shall provide Purchaser prompt written notice, including relevant information, when it has knowledge that any permits, licenses, or other approvals required for the performance of this purchase order and that are to be obtained by Seller are unable to be obtained or have expired, been cancelled, suspended, revoked, or otherwise rendered invalid.

Other Delays. It is hereby clarified that ISR shall not bear any responsibility and/or liability in connection with any and all delays that may occur in the Project (including, but without derogating from the generality of the above, pursuant to Force Majeure events), all except Entitling Delays and Suspension, which in relation thereto the provisions of Sections 9.5 or 9.6 above (as applicable) shall apply, all unless expressly provided to the contrary in these General Terms. Without derogating from the above, the Contractor shall not be entitled to any payment and/or any remedy or relief, of whatever kind and nature, from ISR in connection with any and all delays and suspensions in the Project, unless entitled to it pursuant to an express provision in these General Terms.

Other Delays. If, for any reason other than an Owner Default, any conditions set forth in Section 4.2 shall not have been satisfied or duly waived by the date upon which Owner has certified to Purchaser in good faith that the Northern Pass Transmission Line is ready for Commissioning, then the following provisions shall apply: (a) For purposes of cost recovery under Section 8.1.2, AFUDC shall continue to be accrued on the Construction Costs and Carrying Charges shall continue to be accrued on the Pre-COD Expenses, as provided in Section 8.1.2(e)(ii) and Section 8.1.2(e)(iii), in each case, during the period of delay during which any conditions set forth in Section 4.2 have yet to be satisfied or duly waived. (b) If such delay continues beyond the second (2nd) anniversary of the later to occur of (i) the Target Date and (ii) the date upon which Owner has certified to Purchaser in good faith that the Northern Pass Transmission Line is ready for Commissioning (such second (2nd) anniversary date, “Purchaser’s Deadline”), then the Commercial Operation Date shall be deemed to have occurred, and the Operation Phase shall be deemed to have commenced, on Purchaser’s Deadline for all purposes under this Agreement (provided this Agreement has not been terminated), and Purchaser shall commence payments of the Transmission Service Payments in accordance with Article 14 as if the Northern Pass Transmission Line had achieved Commercial Operation. (c) For the avoidance of doubt, during such period of delay at any time before Purchaser’s Deadline, Purchaser shall continue to have the right to terminate this Agreement under Section 3.3.8, and, from and after Purchaser’s Deadline, Purchaser shall have the right to terminate this Agreement under Section 3.3.10.

Other Delays. Except for delays caused by the acts or omissions of Landlord or by events or Force Majeure, no delays in completion of the Tenant Improvements for any reason whatsoever shall postpone the Commencement Date. Specifically, without limiting the generality of the foregoing, the Commencement Date shall not be postponed on account of any delays caused by Tenant's requirements for the Tenant Improvements, including delays caused by shortages, unavailability of long lead procurement items of unusual or nonstandard materials required for the Tenant Improvements; or on account of any other delay caused by Tenant or the Contractor unless Landlord is the Contractor.

Other Delays. Availability of a deposited check may also be delayed for the following reasons: (1) We have reason to believe the deposited check will not be paid; (2) The total amount of deposited checks in one day exceeds $5,000; (3) The deposited check is one that was previously unpaid when presented to a bank; (4) There have been multiple instances of overdrafts on your account within six months; or (5) An emergency exists, which makes it difficult or impractical for the Bank to make the funds available. Such an emergency might be a computer or other equipment failure or malfunction. If deposited check funds will not be available for withdrawal as provided in this subsection, we will notify you promptly, as circumstances allow. They will generally be available no later than the seventh business day after the day of your deposit.

Other Delays. All time lost due to delays as a result of overloads or certif- icate violations involving federal, state or city regulations, which occur through no fault of the driver, shall be paid for at the regular applicable hourly rate in this Agreement.

Other Delays. Any delay in the construction of the Work caused by “Tenant Delay” including any one or more of the following: (i) Tenant’s request for materials, finishes or installations other than the standard materials, finishes, or installations provided by Landlord from time to time in its sole discretion, or (ii) Tenant’s failure to timely prepare and submit any plans, specifications and construction drawings for Landlord’s review, or to timely review and approve any plans, specifications and construction drawings submitted by Landlord, within the time specified in this Exhibit “B”, or (iii) any delays in obtaining governmental approvals, permits or licenses with respect to any of the Work (including delays due to rejection and necessary modifications of any documents submitted for review) due to any failure of plans, specifications and construction drawings prepared or modified by Tenant or Tenant’s Agents to comply with applicable laws, codes or governmental requirements, (iv) Tenant’s failure to timely install its furniture, trade fixtures, equipment, wiring and cabling, or any other work or improvements for which Tenant is responsible, or (v) any other delay requested or caused by Tenant or Tenant’s Agents, shall not, in any event, delay the Relocation Space Commencement Date, which shall occur on the date it would have occurred but for such Tenant Delay.

Other Delays. To the extent that a delay is caused by MPP or at no fault of Afrigen, Afrigen will be entitled to a reasonable extension of time consistent with the duration of the delay for the completion of an activity or deliverable of the Project. Afrigen may request an extension of time for the completion of an activity or deliverable of the Project by submitting to MPP a written proposal to that effect, which must not be unreasonably withheld.

Other Delays. In the event that Landlord shall be delayed in or prevented from the performance of any act by reason of strikes, lockouts, unusual delays in transportation, unavailability of materials, acts or omissions of contractors and subcontractors, failure or unavailability of power, unavailability of fuel, restrictive governmental laws or regulations, fire or other casualty, inclement weather, riots, insurrections, the act, failure to act or default of the other party, war or other reason beyond its control, then performance of such act shall be excused for the period of the delay and the period for the performance of such act shall be extended for a period equivalent to the period of such delay. Notwithstanding the foregoing, lack of funds shall not be deemed to be a cause beyond the control of Landlord.
