Purchaser Employee definition

Purchaser Employee means the officers and employees of the Purchaser, and for the purpose of this Agreement, includes any independent contractors of the Purchaser.

Purchaser Employee has the meaning set forth in Section 6.1.

Purchaser Employee means (i) each Person who as of the Completion Date is an active employee of any Purchaser Group Member and (ii) each Person who is an employee of any Purchaser Group Member as of the Completion Date who is absent from employment due to illness, vacation, injury, military service or other authorized absence (including an employee who is “disabled” within the meaning of the short-term disability plan currently in place for the Purchaser Group or who is on long-term disability leave).

• In addition, Purchaser shall cause each Transferred Employee to be immediately eligible to participate, without any waiting time, in any and all Purchaser Benefit Plans, subject to Purchaser Employee Benefit eligibility requirements.

• Nothing in this Agreement shall confer any rights or remedies on any Employee (including without limitation any New Purchaser Employee) and no person (including without limitation any New Purchaser Employee) shall be a person's beneficiary with respect to any provision in this Agreement.

Purchaser Employee means the Conveyed Entity Purchaser Employees and the Purchased Assets Business Purchaser Employees.
