Purchaser Employee definition

Purchaser Employee means the officers and employees of the Purchaser, and for the purpose of this Agreement, includes any independent contractors of the Purchaser.
Purchaser Employee has the meaning set forth in Section 6.1.
Purchaser Employee means the Conveyed Entity Purchaser Employees and the Purchased Assets Business Purchaser Employees.

  • During the period commencing on the Closing Date or the Deferred Closing Date, to the extent applicable, and ending on the first anniversary of the Closing Date or the Deferred Closing Date, to the extent applicable, Purchaser shall or shall cause its Affiliates to maintain the Employment Terms for each Purchaser Employee during their employment with Purchaser or any of its Affiliates.

  • Effective as of the Closing Date, Purchaser (or one of its Affiliates) shall establish a Section 125 of the Code flexible spending account plan and related account for each Purchaser Employee (the “Purchaser FSAP”) for the then remaining portion of the calendar year in which the Closing occurs.

  • There shall be no transfer of any assets of any such plan to Purchaser except to the extent a New Purchaser Employee may be permitted, under such plan and applicable laws and regulations, to transfer his or her vested account balance to a plan of Purchaser.


More Definitions of Purchaser Employee

Purchaser Employee means (i) each Person who as of the Completion Date is an active employee of any Purchaser Group Member and (ii) each Person who is an employee of any Purchaser Group Member as of the Completion Date who is absent from employment due to illness, vacation, injury, military service or other authorized absence (including an employee who is “disabled” within the meaning of the short-term disability plan currently in place for the Purchaser Group or who is on long-term disability leave).
Purchaser Employee shall have the meaning set forth in Section 4.1.
