Purchaser Group Health Plan definition

Purchaser Group Health Plan shall have the meaning set forth in Section 9.02(b).
Purchaser Group Health Plan means any medical, dental or health plan of Purchaser that provides group health benefits to Transferred Employees on and after the Closing Date.
Purchaser Group Health Plan has the meaning set forth in Section 7.3(b).

More Definitions of Purchaser Group Health Plan

Purchaser Group Health Plan shall not include with respect to any Company Employee who is actively participating (or who has enrolled for but has not yet commenced participating) on the Closing Date in any Employee Plan that is a group health plan in effect as of the Closing Date (a “Seller Group Health Plan”)) any restrictions or limitations with respect to pre-existing condition exclusions or any actively-at-work requirements (except to the extent such restrictions or limitations were applicable as of the Closing Date under any Seller Group Health Plan), and any eligible expenses incurred by any Company Employee and his or her covered dependents during the portion of the plan year of such Seller Group Health Plan ending on the date such Company Employee’s participation in such Purchaser Group Health Plan begins shall be taken into account under the Purchaser Group Health Plan for purposes of satisfying all deductible, coinsurance and maximum out-of-pocket requirements applicable to such Company Employee and his or her covered dependents for the applicable plan year as if such amounts had been paid in accordance with such Purchaser Group Health Plan. Sellers shall cause the Seller Group Health Plan to furnish to the Purchaser Group Health Plan as soon as practicable after the Closing (and, in any event, within 90 days after the Closing) a written schedule listing the amounts of such eligible expenses and shall use commercially reasonable efforts to have such schedule provided within 30 days of the Closing Date; provided that to the extent that the Purchaser Group Health Plan does not have the information required for it to administer a claim in accordance with the preceding sentence, the Purchaser Group Health Plan may administer such claim without regard to the preceding sentence and shall adjust such claim when it receives such information.

Related to Purchaser Group Health Plan

  • Group health plan means an employee welfare benefit plan as defined in section 3(1) of subtitle A of title I of the employee retirement income security act of 1974, Public Law 93-406, 29 USC 1002, to the extent that the plan provides medical care, including items and services paid for as medical care to employees or their dependents as defined under the terms of the plan directly or through insurance, reimbursement, or otherwise.

  • Purchaser Group means, at any time, the group of companies comprised of the Purchasers, the Guarantor and the Guarantor’s subsidiaries at that time.

  • Health plan or "health benefit plan" means any policy,

  • Non-Participating Home Infusion Therapy Provider means a Home Infusion Therapy Provider who does not have a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.

  • Participating Home Infusion Therapy Provider means a Home Infusion Therapy Provider who has a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.

  • Non-Participating Retail Health Clinic means a Retail Health Clinic which does not have a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.

  • User Group means (a) you; (b) any entity or individual that Stripe reasonably determines is associated with you; and (c) each of your and their Affiliates; that has entered into an agreement with Stripe (or an Affiliate of Stripe) under which Stripe or its Affiliate provides services.

  • Participating Prosthetic Provider means a Prosthetic Provider who has a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.

  • Participating Orthotic Provider means an Orthotic Provider who has a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.

  • Related Group For Loan Group 1, Group 1 and for Loan Group 2, Group 2.

  • Designated Group means - i) Black designated groups; ii) Black People; iii) Women; iv) people with disabilities or v) Small enterprise, as defined in Section 1 of National Small Enterprise Act, (102 of 1996)

  • Participating provider means an Administrator Hospital or Professional Provider which has a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to participants in the Participating Provider Option program or an Administrator facility which has been designated by the Claim Administrator as a Participating Provider.

  • Non-Participating Hospice Care Program Provider means a Hospice Care Program Provider that either: (i) does not have a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield to provide services to participants in this benefits program, or; (ii) a Hospice Care Program Provider which has not been designated by a Blue Cross and/or Blue Shield Plan as a Participating Provider Option program.

  • Qualified health plan means a health benefit plan that has in effect a certification that the plan

  • Participating Hospice Care Program Provider means a Hospice Care Program Provider that either: (i) has a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield to provide services to participants in this benefits program, or; (ii) a Hospice Care Program Provider which has been designated by a Blue Cross and/or Blue Shield Plan as a Participating Provider Option program.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Participating manufacturer means that term as defined in the master settlement agreement.
