Purchaser Plan shall have the meaning set forth in Section 6.2(a).

Purchaser Plan means any benefit or compensation plan, program, policy, practice, agreement, Contract, arrangement or other obligation, as defined in Section 3(2) of ERISA (whether or not subject to ERISA and whether or not in writing and whether or not funded), in each case, which is sponsored or maintained by, contributed to, or required to be contributed to, or with respect to which any potential Liability is borne by Purchaser or any of its Affiliates for the benefit of their employees, including on account of any ERISA Affiliate of the Purchaser or any of its Affiliates.

Purchaser Plan means any benefit and compensation plan, policy, program or arrangement maintained, sponsored or contributed to by the Purchaser or its Affiliates covering current or former employees of the Purchaser and its Affiliates and current or former directors of the Purchaser and its Affiliates, including “employee benefit plans” within the meaning of Section 3(3) of ERISA, and any incentive and bonus, deferred compensation, equity purchase, employment, retirement, retention, change in control, profit sharing, severance, restricted equity, equity option, equity appreciation rights or equity-based plans, excluding any statutory plans.
Purchaser Plan means an employee benefit plan, program or arrangement maintained by Purchaser or its Affiliates in which an Assumed Employee is or becomes eligible to participate following the Closing.
