Purchaser Sales Representatives means every Sales Representative who is not (a) a Holder of an Allowed Class 4 Claim, or (b) an Opt-Out Sales Representative and who provides services to the Purchaser pursuant to the Future Compensation Payment Plan and a Purchaser Sales Representative Agreement. Notwithstanding the foregoing, a Purchaser Sales Representative does not include the Debtors’, the Acquired Entities’, or the Non-Acquired Entities’, officers, directors (at any time), insiders, and affiliates, and the insiders and affiliates of each of the foregoing (other than the Employees), a list of which the Debtors shall provide to the Purchaser on or prior to the Effective Date.

Examples of Purchaser Sales Representatives in a sentence

  • The Purchaser will continue to operate the business and provide opportunities for Sales Representatives to earn commissions pursuant to the Purchaser Sales Representatives Agreement.
