Put Units definition

Put Units has the meaning set forth in Section 7.09(b).

Put Units is defined in Section 12.5.1(a).

Put Units means the number of Common Units, WCAS Blocker Units or Exchanged Units (after effecting a Management Incentive Unit Contribution and Exchange for the applicable Vested Management Incentive Units) subject to a Put Right, Clean-Up Put Right or Special Put Right, as applicable.

Examples of Put Units in a sentence

• The Regular Put Units shall contain such number of Preference Units pro rata to the Ordinary Units which are being put.

• An example of a valuation of Regular Put Units is included in Annex 2 for information purposes.

• By written notice to the Company, the Requisite Series A Preferred Holders may elect to rescind the Put Notice at any time with respect to any and all Put Units for which the Put Price has not been paid in full as of the time of such notice.

• Such notice shall state the Put Date, the Put Price and the number of Put Units held by such Series A Preferred Holder that the Company shall purchase on such Put Date.

• Except as set forth in Section 2.3(f), the Put Price for all Put Units shall be payable to the order of the person whose name appears on the Schedule of Members as the owner thereof.

Put Units has the meaning given such term in Section 9.1(a).

Put Units means a number of units (each consisting of one share of Class A Common Stock and one share of Class B Common Stock) with respect to which Executive has elected to exercise the Put Right, as specified in the Put Notice; provided that Executive may not exercise the Put Right for more than the lesser of (A) 20,000 units (subject to appropriate adjustment for any stock split, stock dividend, reclassification, subdivision or reorganization, recapitalization or similar event) and (B) such number of units as Executive owns on the date the Put Notice is delivered.
