Qualifying Stock Plan definition

Qualifying Stock Plan means, collectively, all approved stock incentive plans for employees, consultants and non-employee directors, provided that (i) issuances under a Qualifying Stock Plan do not exceed 10% in the aggregate of the shares of Common Stock Deemed Outstanding and (ii) such Qualifying Stock Plan has been approved by a compensation committee of the Board of Directors or the full Board of Directors, which, in either case, shall include at least one director designated by the Holders of the Series A Subordinated Convertible Notes and which approval shall include the approval of such director so designated.
