• In the event that any Recall with respect to a Product is the direct result of a breach of any warranty of Exelixis set forth in Section 8.2 and is not the result of Licensee’s, its Affiliates’, or its sublicensees’ transportation, storage, marketing, use, sale, or distribution of the Product, then Exelixis shall bear (and reimburse Licensee for) all of the costs and expenses of such Recall and the destruction of such Recalled Product.

More Definitions of Recalled Product

Recalled Product shall have the meaning set forth in Section 13.3.

Recalled Product will mean the act of taking products off the market because (a) there is reason to believe such products may cause consumers to become ill; (b) the products have been mislabeled; or (c) the product does not meet quality standards. [***]
